The UX UI Designer engaged under this Purchase Order shall provide comprehensive user experience and user interface design services to be performed at the Purchaser's office located in Germany Frankfurt, specifically at Mainzer Landstraße 142, 60329 Frankfurt am Main. The UX UI Designer shall be responsible for the following deliverables and activities:

• Conducting user research, usability testing, and stakeholder interviews within the Frankfurt metropolitan area to inform design decisions for the Purchaser's enterprise SaaS platform.
• Developing wireframes, interactive prototypes, and high-fidelity mockups for both desktop and mobile interfaces, ensuring compliance with German accessibility standards (BITV 2.0 / WCAG 2.1 AA).
• Designing and maintaining a comprehensive design system including component libraries, style guides, and interaction patterns to be used across all product teams based in Germany Frankfurt.
• Collaborating with the front-end development team to ensure pixel-perfect implementation of all UX UI Designer deliverables, including handoff documentation in Figma and Adobe XD.
• Performing A/B testing analysis and iterative design refinements based on quantitative and qualitative user feedback collected from the German market.
• Participating in weekly sprint planning, design reviews, and cross-functional workshops held at the Frankfurt office premises.
• Providing mentorship and design critique sessions for junior designers within the Frankfurt-based product team.

• Payment shall be made within 30 days of receipt of a valid invoice, in accordance with § 286 of the German Civil Code (Bürgerliches Gesetzbuch – BGB).
• Invoices shall be submitted monthly on the last business day of each calendar month for services rendered during that period.

• Late payments shall incur interest at the statutory rate of 8 percentage points above the European Central Bank base rate, as stipulated under § 288 BGB.

• This Purchase Order constitutes a binding agreement between the Purchaser and the Vendor upon written acceptance by both parties.
• The UX UI Designer shall perform all services at the Purchaser's designated workspace in Germany Frankfurt (Mainzer Landstraße 142) or, where mutually agreed, on a hybrid remote basis with a minimum of three on-site days per week in Frankfurt.
• All intellectual property, design assets, source files, and documentation created by the UX UI Designer in the course of this engagement shall become the exclusive property of the Purchaser upon full payment, in accordance with § 697 of the German Copyright Act (Urheberrechtsgesetz – UrhG).
• The Vendor shall comply with all applicable German data protection regulations, including the General Data Protection Regulation (GDPR / DSGVO) and the Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG), particularly with respect to any user data collected during research activities in Germany Frankfurt.
• The UX UI Designer shall maintain professional confidentiality regarding all proprietary information, trade secrets, and business strategies of the Purchaser, as governed by § 2044 BGB and the applicable non-disclosure agreement (NDA) referenced herein.
• Either party may terminate this Purchase Order with 14 days' written notice during the initial engagement period, or 30 days' written notice thereafter, in accordance with § 621 BGB.
• This agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
• The Vendor warrants that the UX UI Designer engaged shall possess a minimum of five (5) years of professional experience in UX and UI design, with demonstrable expertise in enterprise SaaS products and German market compliance requirements.
