This Purchase Order is issued by Nusantara Digital Solutions PT to formally engage PixelCraft Design Studio for the provision of a dedicated UX UI Designer to support the development of our enterprise customer-facing digital platform. All services under this Purchase Order shall be rendered on-site and remotely within the Indonesia Jakarta metropolitan area, ensuring full compliance with local labor regulations, data protection standards, and business practices applicable in Indonesia Jakarta.

- Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier. The Supplier shall confirm acceptance of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall be interpreted as rejection of the Purchase Order.
- Service Location: All on-site deliverables, meetings, workshops, and collaborative sessions involving the UX UI Designer shall take place at the Buyer's office located in Indonesia Jakarta or at mutually agreed-upon venues within the Indonesia Jakarta metropolitan area. Remote work may be conducted as needed, provided that all intellectual property remains under the jurisdiction of Indonesia Jakarta law.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon Purchase Order acceptance, 40% upon delivery of the design system and high-fidelity mockups, and 30% upon final acceptance of all deliverables. Payment shall be processed via bank transfer to the Supplier's designated account in Indonesia Jakarta within fourteen (14) business days of invoice submission.
- Intellectual Property: All work product, including but not limited to wireframes, prototypes, design files, component libraries, and documentation created by the UX UI Designer under this Purchase Order, shall be the sole and exclusive property of the Buyer upon full payment. The Supplier grants no license to reuse, reproduce, or distribute any deliverables without prior written consent.
- Confidentiality: The Supplier and the assigned UX UI Designer agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Local Regulations: The Supplier warrants that the UX UI Designer engaged under this Purchase Order is legally authorized to perform professional design services in Indonesia Jakarta. All applicable taxes, including PPN (Value Added Tax) at 11% and PPh (Income Tax), shall be handled in accordance with the regulations of the Directorate General of Taxes of the Republic of Indonesia.
- Revisions: The Purchase Order includes up to three (3) rounds of revisions per deliverable milestone. Additional revision cycles beyond the included scope shall be billed at a rate of IDR 5,000,000 per round, subject to a supplementary Purchase Order amendment.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date. The Supplier shall deliver all work-in-progress files to the Buyer within seven (7) business days of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Indonesia Jakarta in accordance with the rules of the Indonesian National Board of Arbitration (BANI).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Indonesia Jakarta.
