The selected UX UI Designer shall be responsible for conducting comprehensive user research, developing wireframes and interactive prototypes, designing responsive visual interfaces, establishing a cohesive design system, and performing usability testing cycles. 5.1 This Purchase Order constitutes a binding agreement between Levant Digital Solutions Ltd. (hereinafter "Buyer") and Meridian Creative Design Studio (hereinafter "Vendor") for the provision of UX UI Designer services in Israel Jerusalem. All work shall be performed in accordance with the scope defined herein and applicable Israeli labor and commercial laws.
5.2 The UX UI Designer engaged under this Purchase Order shall maintain full confidentiality regarding all proprietary information, user data, and business strategies of the Buyer. A separate Non-Disclosure Agreement (NDA) has been executed on June 10, 2025, and remains in full force.
5.3 Payment shall be made in three (3) equal installments of ILS 136,290.00 (inclusive of VAT), due upon acceptance of Milestones 2, 4, and 5 respectively. Invoices shall be submitted to the Buyer's finance department in Israel Jerusalem no later than five (5) business days following milestone completion.
5.4 The Vendor shall provide a dedicated UX UI Designer with a minimum of seven (7) years of professional experience in digital product design. Substitution of the assigned designer requires prior written approval from the Buyer's project director.
5.5 All intellectual property, design assets, source files, and documentation created under this Purchase Order shall become the exclusive property of Levant Digital Solutions Ltd. upon full payment. The Vendor retains the right to reference the project in a portfolio only with written consent.
5.6 In the event of non-performance or material breach, the Buyer reserves the right to terminate this Purchase Order with fourteen (14) days written notice. Any work completed prior to termination shall be invoiced at the applicable hourly rate.
5.7 This Purchase Order is governed by the laws of the State of Israel. Any disputes arising hereunder shall be resolved through arbitration in Israel Jerusalem in accordance with the rules of the Israel Arbitration Association.
5.8 The Vendor acknowledges that all on-site work shall be conducted at the Buyer's premises in Israel Jerusalem, and the Vendor is responsible for obtaining any necessary work permits or visas for the assigned UX UI Designer if applicable.
