1. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by Lumen Digital S.r.l. to formally request and authorize the procurement of specialized UX UI Designer professional services to be performed in Italy Milan. The engagement encompasses the full-cycle design of a new enterprise-grade digital platform, including user research, information architecture, wireframing, visual interface design, prototyping, usability testing, and final design system documentation. All deliverables under this Purchase Order shall be produced by a qualified UX UI Designer or a team of UX UI Designer professionals operating out of the designated Italy Milan office location specified herein.

3. TERMS AND CONDITIONS

Place of Performance: All services under this Purchase Order shall be rendered primarily at the Buyer's premises located in Italy Milan, Via della Spiga 45, 20121 Milano MI. The UX UI Designer or team shall be physically present in Italy Milan for a minimum of four (4) working days per week unless otherwise agreed in writing.
Qualification of Personnel: The Seller warrants that the UX UI Designer assigned to this Purchase Order shall possess a minimum of seven (7) years of professional experience in user experience and user interface design, with demonstrable expertise in enterprise SaaS platforms, design systems, and accessibility standards (WCAG 2.1 AA). The UX UI Designer must be fluent in Italian and English to facilitate effective communication with the Italy Milan-based development team.
Intellectual Property: All work product, including but not limited to wireframes, visual designs, prototypes, design tokens, and documentation created under this Purchase Order, shall be the exclusive property of Lumen Digital S.r.l. upon full payment. The UX UI Designer retains no rights to reuse, reproduce, or disclose any deliverables without prior written consent.
Confidentiality: The UX UI Designer and all associated personnel shall adhere to strict confidentiality obligations regarding proprietary business information, user data, and product roadmaps encountered during the engagement in Italy Milan. A separate Non-Disclosure Agreement (NDA) is incorporated by reference into this Purchase Order.
Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian commercial law applicable in Italy Milan.
Acceptance and Revisions: Each deliverable phase outlined in this Purchase Order is subject to a five (5) business-day review period by the Buyer. The UX UI Designer shall incorporate up to two (2) rounds of revisions per phase at no additional cost. Additional revision cycles beyond the agreed scope shall be billed at the applicable hourly rate.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the UX UI Designer for all services rendered and expenses incurred up to the effective date of termination, as documented in Italy Milan under applicable Italian labor and commercial regulations.
Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Italy Milan, Province of Milano.
Compliance: The Seller and the UX UI Designer shall comply with all applicable Italian data protection regulations (GDPR as implemented in Italy), labor laws, and professional standards relevant to the design profession in Italy Milan.

4. AUTHORIZATION AND ACCEPTANCE

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a UX UI Designer in Italy Milan. This document constitutes a binding agreement upon execution by both authorized representatives.
