This Purchase Order is issued to formally authorize the procurement of specialized UX UI Designer services to be delivered and executed within the Japan Osaka metropolitan area. The engaged UX UI Designer shall be responsible for the end-to-end design of a new enterprise-grade digital platform, encompassing user research, information architecture, wireframing, visual interface design, prototyping, usability testing, and design system development. - Payment Terms: Payment shall be made in three installments: 40% upon acceptance of this Purchase Order, 40% upon completion of Phase 003 (Visual UI Design), and 20% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the vendor account registered in Japan Osaka. Payment is due within 30 days of invoice receipt.
- Delivery Location: All on-site meetings, user testing sessions, and collaborative workshops involving the UX UI Designer shall take place at the buyer's office located in Umeda, Kita-ku, Japan Osaka, or at mutually agreed-upon venues within the Osaka metropolitan area. Remote collaboration is permitted for non-critical tasks.
- Intellectual Property: Upon full payment, all design assets, source files, design system components, and documentation created by the UX UI Designer under this Purchase Order shall become the exclusive property of Kansai Digital Solutions Co., Ltd. The vendor retains the right to display completed work in their portfolio with prior written consent.
- Confidentiality: The UX UI Designer and all associated personnel shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement in Japan Osaka. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
- Revisions: Each phase includes up to three (3) rounds of revisions. Additional revision cycles beyond the included scope shall be billed at a rate of 25,000 JPY per hour for the UX UI Designer's time.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of early termination, the vendor shall be compensated for all work completed and accepted up to the termination date, plus a 10% administrative fee.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this engagement shall be resolved through arbitration in Japan Osaka under the rules of the Japan Commercial Arbitration Association (JCAA).
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or other events beyond reasonable control, consistent with Japanese commercial law provisions.
All deliverables produced by the UX UI Designer shall be subject to a formal acceptance review conducted by the buyer's product team in Japan Osaka. Acceptance requires written sign-off from the Procurement Director and the Lead Product Manager. Deliverables that do not meet the agreed-upon specifications outlined in the Statement of Work (SOW) attached as Appendix B shall be returned for rework within five (5) business days at no additional cost to the buyer.
