- Engagement Location: The UX UI Designer shall perform the majority of services (minimum 60%) on-site at the Purchasing Party's office located in Chuo-ku, Japan Tokyo. Remote work from any location within the Japan Tokyo metropolitan area is permissible for the remaining 40% of working hours, subject to prior written approval.
- Qualifications: The UX UI Designer assigned to this Purchase Order must possess a minimum of seven (7) years of professional experience in user experience and user interface design, with demonstrated expertise in enterprise software, mobile applications, and design systems. The designer must hold a valid work visa or residence permit for Japan and be legally authorized to work in Japan Tokyo.
- Deliverables: All design deliverables, including wireframes, prototypes, design system documentation, and usability test reports, shall be submitted in both Japanese and English. Final files must be delivered in Figma, Adobe XD, or equivalent industry-standard format, stored on the Purchasing Party's secure server in Japan Tokyo.
- Payment Schedule: Payment shall be made in three (3) equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the design system and high-fidelity mockups (Month 4), and 30% upon final handover and acceptance (Month 8). All payments shall be made via bank transfer to the Supplier's account in Japan Tokyo.
- Intellectual Property: All work product created by the UX UI Designer under this Purchase Order shall be the sole and exclusive property of Sakura Digital Solutions K.K. upon full payment. The Supplier grants no license to reuse, reproduce, or distribute any deliverables without written consent.
- Confidentiality: The UX UI Designer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary information, user data, and business strategies encountered during the engagement in Japan Tokyo shall be treated as strictly confidential and shall not be disclosed to any third party.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Party shall pay for all services rendered up to the termination date, and the UX UI Designer shall deliver all work-in-progress materials to the Japan Tokyo office.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
- Compliance: The Supplier warrants that the UX UI Designer shall comply with all applicable Japanese labor laws, tax regulations, and data protection statutes (including the Act on the Protection of Personal Information) while performing services in Japan Tokyo.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting operations in Japan Tokyo.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in Japan Tokyo. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized signatories.
