This Purchase Order is issued by Almaty Digital Solutions LLP (hereinafter referred to as the "Buyer") to Creative Pixel Studio (hereinafter referred to as the "Seller") for the engagement of a qualified UX UI Designer to deliver comprehensive user experience and user interface design services. This Purchase Order governs all terms, conditions, deliverables, and financial obligations associated with the UX UI Designer engagement. The services described herein are to be performed primarily at the Buyer's office located in Kazakhstan Almaty, with the possibility of remote collaboration as mutually agreed upon by both parties.
The Buyer requires the services of a UX UI Designer with a minimum of five (5) years of professional experience in digital product design, interaction design, and visual design systems. The UX UI Designer shall be responsible for conducting user research, creating wireframes, developing high-fidelity prototypes, establishing design systems, and ensuring that all digital products meet the highest standards of usability, accessibility, and visual consistency.
The UX UI Designer engaged under this Purchase Order shall provide the following services and deliverables within the project timeline established for the Kazakhstan Almaty office:

The UX UI Designer shall adhere to the following milestone schedule, with all work performed in coordination with the Buyer's product team based in Kazakhstan Almaty:
- Milestone 1 (Weeks 1–3): Completion of user research, persona development, and competitive landscape analysis specific to the Kazakhstan Almaty digital market.
- Milestone 2 (Weeks 4–6): Delivery of all low-fidelity wireframes and information architecture documents for Buyer approval.
- Milestone 3 (Weeks 7–10): Completion of high-fidelity UI designs, interactive prototypes, and first round of user testing.
- Milestone 4 (Weeks 11–12): Final design system documentation, developer handoff, and project closure review.
Payment for the services rendered under this Purchase Order shall be made in accordance with the following schedule. All payments shall be processed in Kazakhstani Tenge (KZT) via bank transfer to the Seller's designated account. The Buyer shall issue payment within thirty (30) calendar days from the date of invoice receipt, provided that all deliverables for the corresponding milestone have been accepted in writing by the Buyer's project manager in Kazakhstan Almaty.
- 30% advance payment upon execution of this Purchase Order.
- 40% upon completion and acceptance of Milestones 2 and 3.
- 30% upon final delivery and acceptance of all remaining deliverables.
Late payments shall incur a penalty of 0.5% per calendar day on the outstanding balance, in accordance with the Civil Code of the Republic of Kazakhstan.
This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation, and if unresolved, through arbitration in Almaty, Kazakhstan Almaty, in accordance with the rules of the Arbitration Center of the Astana International Financial Centre.
The UX UI Designer shall maintain full confidentiality of all proprietary information, trade secrets, and user data encountered during the course of this engagement. All intellectual property rights in the deliverables produced under this Purchase Order shall vest exclusively in the Buyer upon full payment. The Seller warrants that all work delivered by the UX UI Designer shall be original, free from infringement of third-party rights, and shall comply with all applicable design standards and accessibility guidelines (WCAG 2.1 AA).
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Seller for all work completed and accepted up to the date of termination. The Seller shall return all confidential materials and proprietary data belonging to the Buyer within five (5) business days of termination.
By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of a UX UI Designer to deliver design services in Kazakhstan Almaty. This Purchase Order constitutes a binding agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter hereof.
