This Purchase Order is issued by Savanna Digital Solutions Ltd. to formally engage the services of a qualified UX UI Designer for the design, prototyping, and user experience optimization of the company's flagship mobile and web application platform. All services under this Purchase Order shall be rendered physically and remotely from the Kenya Nairobi metropolitan area, with primary on-site work conducted at the buyer's office in Westlands, Kenya Nairobi, during standard business hours (Monday to Friday, 8:00 AM to 5:00 PM East Africa Time).

The UX UI Designer shall be responsible for conducting comprehensive user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, establishing a cohesive design system, and ensuring full accessibility compliance in accordance with WCAG 2.1 AA standards. The scope of work is specifically tailored to the digital product landscape in Kenya Nairobi, taking into consideration local user behavior patterns, mobile-first usage preferences prevalent in the region, and the multilingual context of the Kenyan market.

Payment for services rendered under this Purchase Order shall be made in Kenyan Shillings (KES) via bank transfer to the UX UI Designer's designated account. The payment schedule is structured as follows:

• 30% Advance Payment (KES 486,000): Due upon signing and acceptance of this Purchase Order, before commencement of work in Kenya Nairobi.
• 40% Milestone Payment (KES 648,000): Due upon delivery and approval of High-Fidelity UI Mockups and the Visual Design System (Deliverable 4).
• 30% Final Payment (KES 486,000): Due upon completion of the Post-Launch UX Audit and successful handover of all project files.

All invoices must be submitted to the procurement department of Savanna Digital Solutions Ltd. in Kenya Nairobi. Payment shall be processed within fourteen (14) calendar days of invoice receipt. Late payments shall attract interest at the rate of 1.5% per month as stipulated under Kenyan commercial law.

• This Purchase Order constitutes a binding agreement between the parties and is governed by the laws of the Republic of Kenya, including the Kenya Information and Communications Act and the Consumer Protection Act.
• The UX UI Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall not incorporate any third-party assets without proper licensing.
• All work shall be performed primarily from the Kenya Nairobi area. The UX UI Designer agrees to be available for on-site meetings at the buyer's Westlands office a minimum of three (3) days per week during active project phases.
• The buyer reserves the right to request up to three (3) rounds of revisions per deliverable at no additional cost. Revisions beyond this limit shall be billed at KES 12,000 per hour.
• Confidentiality: The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies encountered during the engagement in Kenya Nairobi. A separate Non-Disclosure Agreement (NDA) accompanies this Purchase Order.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Kenya Nairobi, or widespread infrastructure failures.
• Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through mediation in Kenya Nairobi. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act of Kenya.
