This Purchase Order is issued by Al-Nakheel Digital Solutions W.L.L. to formally engage the services of a qualified UX UI Designer for the development, redesign, and optimization of our enterprise digital platform. The engagement is based in Kuwait, Kuwait City, and all deliverables, meetings, and on-site collaboration sessions shall take place at our primary office located in the Kuwait City business district. The UX UI Designer shall be responsible for conducting user research, creating wireframes, designing high-fidelity mockups, building interactive prototypes, and establishing a comprehensive design system that aligns with our brand identity and the specific cultural and usability expectations of the Kuwaiti market.

The UX UI Designer contracted under this Purchase Order shall perform the following duties within the Kuwait, Kuwait City operational area:

• Conduct in-depth user research and usability testing sessions with local stakeholders in Kuwait City to identify pain points and define user personas relevant to the Kuwaiti demographic.
• Develop information architecture, user flows, and low-fidelity wireframes for the new enterprise platform, ensuring compliance with Kuwaiti regulatory and accessibility standards.
• Design high-fidelity UI mockups in Figma and Adobe XD, incorporating a design system with reusable components, typography guidelines, and color palettes tailored to the brand.
• Build and deliver interactive prototypes for stakeholder review and client presentation, with all sessions scheduled at the Kuwait City office or via approved virtual channels.
• Collaborate directly with the in-house development team in Kuwait City to ensure seamless handoff of design assets, specifications, and annotation documentation.
• Provide ongoing design support and iterative refinements for a period of six (6) weeks following the initial delivery, with availability for on-site visits in Kuwait City as needed.

• Payment shall be made in three (3) equal installments: 40% upon acceptance of this Purchase Order, 35% upon delivery of high-fidelity designs, and 25% upon final acceptance and completion of the post-delivery support period.
• All payments shall be processed via bank transfer to the vendor's designated account in Kuwait City. Invoices must reference Purchase Order number PO-KWT-2025-00472.
• Payment is due within fifteen (15) calendar days of invoice receipt. Late payments shall incur a penalty of 1.5% per month as per Kuwaiti commercial law.

• This Purchase Order is governed by the laws of the State of Kuwait. Any disputes arising from this engagement shall be resolved through the competent courts in Kuwait City.
• The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies of Al-Nakheel Digital Solutions W.L.L. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
• All intellectual property rights in the final deliverables, including but not limited to design files, source assets, and documentation, shall transfer to the buyer upon full payment.
• The vendor shall ensure that the UX UI Designer assigned to this project holds a valid work permit or appropriate visa status for employment in Kuwait. The vendor is solely responsible for compliance with Kuwaiti labor regulations.
• Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall pay for all services rendered up to the termination date.
• All on-site work, client meetings, and collaborative sessions related to this Purchase Order shall be conducted in Kuwait, Kuwait City, at the buyer's premises unless otherwise agreed in writing.
