Ltd. to formally engage the services of a qualified UX UI Designer based in Nepal Kathmandu for the purpose of designing, prototyping, and delivering a comprehensive user experience and user interface solution for the company's upcoming e-commerce platform. The UX UI Designer shall be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, and ensuring that all design deliverables meet international usability standards while remaining culturally relevant to the Nepal Kathmandu market and broader South Asian user base.

The scope of work under this Purchase Order encompasses the full design lifecycle, from initial discovery and stakeholder interviews conducted in the Nepal Kathmandu region, through iterative design sprints, to final handoff of design assets and documentation. The UX UI Designer is expected to collaborate closely with the development team, product managers, and marketing stakeholders to ensure a cohesive digital product that reflects both modern design principles and the unique preferences of users in Nepal Kathmandu and surrounding areas.

• Payment Schedule: 30% advance payment upon acceptance of this Purchase Order, 40% upon completion of the High-Fidelity UI Design phase, and 30% upon final delivery and acceptance of all UX UI Designer deliverables.
• Payment Method: Bank transfer to the account of Kathmandu Creative Design Studio, Nabil Bank Ltd., Kathmandu Branch, Account No. 001-XXXX-XXXX.
• Payment Currency: All payments shall be made in Nepalese Rupees (NPR) unless otherwise agreed in writing by both parties.
• Payment Due Date: Each installment is due within 14 calendar days of the respective milestone invoice date.
• Late Payment: A penalty of 1.5% per month shall apply to any overdue amounts as per the terms of this Purchase Order.

• This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives.
• The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies shared during the course of this engagement in Nepal Kathmandu.
• All intellectual property rights in the final design deliverables shall transfer to the Buyer upon full and final payment as specified in this Purchase Order.
• The UX UI Designer shall comply with all applicable laws and regulations of Nepal, including but not limited to the Companies Act, 2063 and the Income Tax Act, 2058.
• Any changes to the scope of work must be documented in a written change order signed by both parties before additional work commences.
• The Seller shall provide a minimum of 30 days' written notice in the event of any inability to fulfill the obligations under this Purchase Order.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 1994 of Nepal.
• This Purchase Order is governed by the laws of the Kingdom of Nepal.
