This Purchase Order is issued by TechBridge Solutions Ltd. to formally engage CreativePixel Design Studio for the provision of professional UX UI Designer services. The engagement is based in Nigeria Lagos, specifically within the Victoria Island and Lekki business districts, and covers the full design lifecycle for the company's upcoming fintech mobile application and companion web dashboard.
The UX UI Designer shall be responsible for conducting user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, establishing a comprehensive design system, and delivering final production-ready assets. All deliverables must adhere to international usability standards while remaining culturally relevant to the Nigerian market and the broader West African user base.

Payment for this Purchase Order shall be made in three (3) installments via bank transfer to the account of CreativePixel Design Studio, domiciled in a Nigerian commercial bank in Lagos. The payment schedule is as follows:
First Installment (40%): NGN 3,594,800 — Due upon execution of this Purchase Order and commencement of the UX UI Designer engagement.
Second Installment (35%): NGN 3,145,450 — Due upon delivery and approval of all high-fidelity UI designs and interactive prototypes.
Third Installment (25%): NGN 2,246,750 — Due upon final handoff of the design system documentation and completion of the post-launch support period.
All payments are subject to a 30-day credit period from the date of invoice. Late payments shall attract a penalty of 2% per month as stipulated under Nigerian commercial law.
All on-site work related to this Purchase Order shall be conducted at the TechBridge Solutions Ltd. office located in Victoria Island, Nigeria Lagos. The UX UI Designer is expected to be physically present at the Lagos office a minimum of three (3) days per week during the active design phases. Remote collaboration via approved digital tools is permitted for the remaining days and for the post-launch support period.
Final deliverables, including all source files (Figma, Adobe XD, or equivalent), design tokens, and documentation, shall be delivered electronically to the designated project manager at TechBridge Solutions Ltd. within five (5) business days of the completion of each milestone.
6.1. This Purchase Order constitutes a binding agreement between the parties upon signature by both authorized representatives. It is governed by the laws of the Federal Republic of Nigeria, with jurisdiction vested in the courts of Lagos State.
6.2. The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies encountered during the engagement. A separate Non-Disclosure Agreement (NDA) is attached as Annexure A.
6.3. All intellectual property rights in the final deliverables shall vest exclusively in TechBridge Solutions Ltd. upon full payment. The service provider retains the right to display the work in a professional portfolio with prior written consent.
6.4. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the service provider shall be compensated for all work completed up to the termination date.
6.5. The service provider warrants that all work performed by the UX UI Designer shall be original, free from third-party intellectual property claims, and compliant with applicable Nigerian data protection regulations (NDPR 2019).
6.6. Any disputes arising from this Purchase Order shall first be subject to mediation in Nigeria Lagos before escalation to formal litigation.
