This Purchase Order is issued by TechBridge Solutions (Pvt.) Ltd. to formally engage the services of a qualified UX UI Designer for the development, redesign, and ongoing maintenance of our flagship digital product suite. The engagement is specifically scoped for operations conducted within Pakistan Karachi, where the UX UI Designer will be physically present at our Clifton office for the initial six-week onboarding and collaborative design phase, followed by a hybrid remote-work arrangement based out of the Pakistan Karachi metropolitan area.

The UX UI Designer shall be responsible for conducting comprehensive user research, creating wireframes and high-fidelity prototypes, developing design systems, performing usability testing, and delivering final production-ready interface assets. All design deliverables must align with the brand guidelines established by TechBridge Solutions and must be optimized for both web and mobile platforms serving the South Asian market.

Payment against this Purchase Order shall be made in the following installments via bank transfer to the vendor's designated account in Pakistan Karachi:

• 30% Advance Payment (PKR 1,420,200): Due within 7 working days of mutual acceptance of this Purchase Order, prior to the commencement of the UX UI Designer's onboarding phase.
• 40% Milestone Payment (PKR 1,893,600): Due upon successful delivery and client sign-off of all wireframes, high-fidelity UI designs, and the completed design system.
• 30% Final Payment (PKR 1,420,200): Due within 14 working days of the completion of the final usability testing round and delivery of the developer handoff package.

All payments are subject to the vendor providing a valid Sales Tax Invoice (STI) compliant with the Federal Board of Revenue (FBR) regulations applicable in Pakistan Karachi. Late payments shall attract a penalty of 1.5% per month on the outstanding balance.

• This Purchase Order is governed by the laws of the Islamic Republic of Pakistan, and any disputes arising from this engagement shall be resolved through arbitration in Pakistan Karachi in accordance with the Arbitration Act, 1940.
• The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies of TechBridge Solutions. A separate Non-Disclosure Agreement (NDA) must be executed prior to the commencement of work.
• All intellectual property rights in the final deliverables, including but not limited to design files, prototypes, design tokens, and documentation, shall vest exclusively with TechBridge Solutions upon full and final payment.
• The UX UI Designer is required to work a minimum of 40 hours per week during the onboarding phase at the Pakistan Karachi office (Monday to Friday, 9:00 AM to 6:00 PM, with a 1-hour lunch break). During the hybrid phase, the designer must be reachable during core business hours.
• The vendor shall provide a replacement UX UI Designer of equivalent or superior qualification within 5 working days should the primary designer become unavailable for any reason.
• Any changes to the scope of work beyond what is specified in this Purchase Order must be documented in a formal Change Order signed by both parties before additional work commences.
• The vendor is responsible for providing all necessary design software licenses (Figma, Adobe Creative Suite, etc.) and hardware required to fulfill the obligations under this Purchase Order.
• This Purchase Order is valid for acceptance within 30 calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.

All deliverables under this Purchase Order shall be submitted to the designated project manager at TechBridge Solutions, Pakistan Karachi, via the company's internal project management platform (Jira) and cloud storage (AWS S3). Each deliverable phase is subject to a 5-working-day review period. The UX UI Designer shall incorporate reasonable feedback within 3 working days of receiving written comments. Final acceptance of each phase shall be confirmed in writing by the Head of Digital Products.
