This Purchase Order is issued by Andina Digital Solutions S.A.C. to formally engage the services of a qualified UX UI Designer for the development, redesign, and optimization of our enterprise digital platform. The engagement is based in Peru Lima, where all on-site collaboration sessions, stakeholder workshops, and design reviews will take place at the buyer's headquarters in San Isidro, Lima. The UX UI Designer shall be responsible for conducting comprehensive user research, creating wireframes, developing high-fidelity prototypes, establishing a complete design system, and delivering final production-ready interface assets. All deliverables must comply with the accessibility standards mandated by Peruvian regulatory frameworks and align with the visual identity guidelines established by the client. The UX UI Designer is expected to work full-time (40 hours per week) at the Peru Lima office for the duration of the contract, with the option of remote collaboration for specific phases as mutually agreed upon.

• Payment Schedule: 30% advance upon execution of this Purchase Order; 40% upon delivery of high-fidelity designs and design system; 30% upon final acceptance and project closure.
• Payment Method: Bank transfer to the vendor's account at BCP (Banco de Crédito del Perú), Lima branch. Account details to be provided in the formal invoice (Factura).
• Payment Window: Net 30 days from the date of invoice issuance, in accordance with Peruvian commercial law.
• Currency: All amounts are denominated in United States Dollars (USD). Conversion to Peruvian Soles (PEN) shall be at the BCRL reference rate on the payment date.

• This Purchase Order constitutes a binding agreement between the parties upon signature by both authorized representatives.
• The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies encountered during the engagement in Peru Lima. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
• All intellectual property rights in the final deliverables, including but not limited to design files, prototypes, component libraries, and documentation, shall transfer exclusively to Andina Digital Solutions S.A.C. upon full payment.
• The vendor is responsible for obtaining all necessary work permits and complying with Peruvian labor regulations applicable to the engagement of a UX UI Designer in the Lima metropolitan area.
• Any changes to scope, timeline, or deliverables must be documented in a formal Change Order signed by both parties before implementation.
• The vendor shall provide weekly progress reports every Friday, detailing completed tasks, upcoming milestones, and any risks or blockers affecting the project in Peru Lima.
• Termination may be issued by either party with 15 business days written notice. In such case, the buyer shall pay for all services rendered up to the termination date.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Lima, Peru, in accordance with the rules of the Lima Chamber of Commerce.

Deliverables shall be deemed accepted upon written confirmation from the buyer's Product Director within 5 business days of submission. Failure to provide written objection within this period shall constitute implicit acceptance. The UX UI Designer is entitled to one (1) round of revisions per deliverable phase without additional charge. Subsequent revision cycles will be billed at $150.00 USD per hour.
