The contracted UX UI Designer shall be responsible for conducting comprehensive user research, developing information architecture, creating wireframes and interactive prototypes, designing high-fidelity visual interfaces, establishing and maintaining a design system, performing usability testing sessions, and delivering final production-ready design assets. All deliverables must align with the brand guidelines and accessibility standards (WCAG 2.1 AA) applicable in the Russia Moscow digital market.

Payment shall be made via bank transfer to the account of PixelCraft Design Studio OOO within 14 calendar days of invoice receipt. All payments are denominated in Russian Rubles (RUB) and processed through the banking infrastructure of Russia Moscow. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under the Civil Code of the Russian Federation.
5. Terms and Conditions5.1 Governing Law. This Purchase Order and all associated service engagements shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from this Purchase Order regarding the UX UI Designer services shall be subject to the exclusive jurisdiction of the Arbitration Court of Moscow, Russia Moscow.
5.2 Intellectual Property. Upon full and final payment, all intellectual property rights in the deliverables produced by the UX UI Designer, including but not limited to design files, prototypes, design system components, and documentation, shall be irrevocably assigned to Meridian Digital Solutions LLC. The supplier retains the right to display completed work in its portfolio with prior written consent from the buyer.
5.3 Confidentiality. Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, user data, and business strategies disclosed during the course of this Purchase Order. This obligation shall survive the termination of this agreement for a period of five (5) years. All work shall be conducted in compliance with Federal Law No. 152-FZ "On Personal Data" applicable in Russia Moscow.
5.4 Work Location and Schedule. The UX UI Designer shall perform a minimum of 60% of the work on-site at the buyer's office located at 12 Tverskaya Street, Moscow, Russia Moscow, Monday through Friday, 09:00–18:00 (Moscow Time, UTC+3). Remote work is permitted for the remaining 40% of working hours, provided that all deliverable deadlines are met.
5.5 Change Orders. Any modification to the scope of work, timeline, or financial terms of this Purchase Order must be documented in a written Change Order signed by authorized representatives of both parties. No verbal agreements shall alter the terms herein.
5.6 Termination. Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the buyer shall pay for all services rendered and deliverables accepted up to the date of termination. The supplier shall return all confidential materials within 5 business days.
5.7 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Russia Moscow region.
6. Acceptance and AuthorizationBy signing below, the authorized representatives of both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in Russia Moscow. This document constitutes a binding procurement instrument effective from the date of the last signature.
