This Purchase Order is issued by Teranga Digital Solutions SARL to formally procure the professional services of a qualified UX UI Designer to be deployed and operational within the Senegal Dakar metropolitan area. The engagement is intended to support the end-to-end redesign of our flagship e-commerce platform, "Marché Teranga," which serves over 250,000 active users across Senegal and the broader West African region. The UX UI Designer shall be responsible for conducting user research, wireframing, prototyping, visual interface design, usability testing, and the delivery of a comprehensive design system tailored to the cultural and linguistic context of Senegal Dakar.

1. Acceptance: This Purchase Order constitutes a binding procurement document. The UX UI Designer or their representing agency must confirm acceptance in writing within five (5) business days of receipt. Failure to respond within this period shall render this Purchase Order void.
2. Location of Work: All on-site activities, including user research sessions, usability testing, and stakeholder workshops, shall be conducted in Senegal Dakar. The UX UI Designer is expected to be physically present at the Teranga Digital Solutions office in the Plateau district for a minimum of four (4) days per week during active project phases.
3. Intellectual Property: All deliverables, including but not limited to wireframes, design files, prototypes, design systems, and documentation produced under this Purchase Order, shall become the exclusive property of Teranga Digital Solutions SARL upon full payment. The UX UI Designer retains the right to display completed work in their professional portfolio with prior written consent.
4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon project kickoff, 40% upon delivery of the visual design and UI kit, and 30% upon final acceptance of all deliverables. Each installment is due within thirty (30) days of the corresponding invoice.
5. Revisions: The Purchase Order includes two (2) rounds of revisions per phase. Additional revision cycles beyond the included scope shall be billed at a rate of 150,000 XOF per additional round, subject to prior written approval.
6. Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies encountered during the engagement in Senegal Dakar. A separate Non-Disclosure Agreement (NDA) shall be executed prior to project commencement.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the UX UI Designer shall be compensated for all work completed and accepted up to the termination date.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes arising from this engagement shall be resolved through the competent courts of Dakar, Senegal.
9. Compliance: The UX UI Designer shall comply with all applicable labor laws, tax regulations, and professional standards in force in Senegal Dakar. The service provider is responsible for all applicable social security contributions and professional insurance.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, civil unrest, or government-mandated closures affecting operations in Senegal Dakar.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a UX UI Designer in Senegal Dakar.
