This Purchase Order is issued by Meridian Digital Solutions Pte. Ltd. to formally engage the services of a qualified UX UI Designer to deliver comprehensive user experience and user interface design solutions for the company's flagship digital product, the "Meridian Connect" enterprise platform. The engagement is to be carried out within the jurisdiction of Singapore Singapore, and all deliverables, meetings, and contractual obligations shall be governed by the laws of the Republic of Singapore.

The UX UI Designer shall be responsible for conducting user research, creating wireframes, developing high-fidelity interactive prototypes, establishing design systems, and ensuring that all digital interfaces meet the highest standards of accessibility, usability, and visual consistency. The scope of work includes but is not limited to mobile application design, web platform redesign, and the creation of a comprehensive brand design language for all digital touchpoints.

Payment for this Purchase Order shall be made in three (3) instalments as follows: (a) 40% upon execution of this Purchase Order and commencement of the UX UI Designer engagement; (b) 40% upon delivery and acceptance of all high-fidelity design assets and the completed design system; and (c) 20% upon final sign-off following the developer handoff and completion of the two-month support period. All payments shall be remitted via bank transfer to the account designated by PixelCraft Design Studio LLP. Payment is due within fourteen (14) calendar days from the date of invoice issuance. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the Singapore Singapore commercial regulations.

• 5.1 This Purchase Order constitutes a binding agreement between the parties and is governed by the laws of the Republic of Singapore. Any disputes arising from this engagement shall be resolved through arbitration in Singapore Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).
• 5.2 The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, user data, and business strategies of Meridian Digital Solutions Pte. Ltd. A separate Non-Disclosure Agreement (NDA) has been executed concurrently with this Purchase Order.
• 5.3 All intellectual property rights in the final deliverables, including but not limited to wireframes, prototypes, design system components, and source files, shall vest exclusively in Meridian Digital Solutions Pte. Ltd. upon full payment of the total amount specified in this Purchase Order.
• 5.4 The UX UI Designer shall comply with all applicable Singapore Singapore data protection regulations, including the Personal Data Protection Act (PDPA), when handling any user research data collected during the engagement.
• 5.5 The project timeline shall span a total of sixteen (16) weeks from the date of commencement. The UX UI Designer shall provide weekly progress reports and attend bi-weekly stakeholder review meetings at the Meridian Digital Solutions office in Singapore Singapore.
• 5.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the UX UI Designer shall be compensated for all work completed and accepted up to the date of termination.
• 5.7 The UX UI Designer warrants that all deliverables shall be original, free from any third-party intellectual property claims, and shall conform to the WCAG 2.1 AA accessibility standards as mandated for all digital products operating in Singapore Singapore.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the UX UI Designer services in Singapore Singapore. This document is valid for a period of ninety (90) days from the date of issue, after which it shall lapse unless renewed in writing by both parties.
