This Purchase Order is issued to formally engage the services of a qualified UX UI Designer to deliver comprehensive user experience and user interface design solutions for Iberia Digital Solutions S.L. All professional services under this Purchase Order shall be performed, delivered, and accepted at the designated project office located in Spain Valencia, specifically at the address listed in Section 1. The UX UI Designer shall be responsible for the full design lifecycle, including user research, wireframing, prototyping, visual interface design, design system development, and usability testing, all conducted in accordance with the project specifications agreed upon in the attached Statement of Work (SOW-2025-VAL-019).

• Payment shall be made in three (3) equal installments: 40% upon acceptance of this Purchase Order, 35% upon delivery of the completed UI design system, and 25% upon final project sign-off.
• All payments shall be processed via bank transfer to the supplier's account registered in Spain Valencia. Payment terms are Net 30 days from the date of invoice.
• Late payments shall accrue interest at the rate of 1.5% per month, in accordance with Spanish commercial law (Ley 3/2004 de lucha contra la morosidad).
• The monthly retainer for ongoing UX UI Designer support (Line Item 06) shall be invoiced on the first business day of each month.

• This Purchase Order is governed by the laws of the Kingdom of Spain, with jurisdiction vested in the courts of Spain Valencia.
• The UX UI Designer shall maintain full confidentiality of all proprietary information, user data, and business strategies encountered during the engagement. A separate Non-Disclosure Agreement (NDA-2025-VAL-007) is incorporated by reference.
• All intellectual property rights in the deliverables produced under this Purchase Order shall transfer to Iberia Digital Solutions S.L. upon full payment. The UX UI Designer retains the right to display completed work in a professional portfolio, subject to prior written approval.
• The supplier warrants that the UX UI Designer assigned to this project possesses a minimum of seven (7) years of professional experience in user experience and user interface design, with demonstrable expertise in Figma, Adobe Creative Suite, and modern design systems.
• Any changes to the scope of work must be documented in a formal Change Order, signed by both parties, before additional work commences. No verbal modifications to this Purchase Order shall be binding.
• The supplier shall comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD), particularly regarding user research data collected in Spain Valencia.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date.
• Force majeure events, including but not limited to natural disasters, government mandates, or public health emergencies affecting Spain Valencia, shall suspend obligations under this Purchase Order for the duration of the event.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the UX UI Designer in Spain Valencia. This document constitutes a binding agreement effective from the date of the last signature.
