This Purchase Order is issued to formally authorize the procurement of professional UX UI Designer services for the development, redesign, and optimization of digital products and platforms. The selected UX UI Designer will be based and operating out of Sri Lanka Colombo, providing on-site and remote design support to the Meridian Digital Solutions project team. The scope of work encompasses user research, wireframing, prototyping, visual interface design, design system architecture, usability testing, and iterative design refinement across web and mobile applications.

1. This Purchase Order constitutes a binding agreement between Meridian Digital Solutions Pvt. Ltd. and PixelCraft Design Studio (Pvt) Ltd. for the provision of UX UI Designer services. All work shall be performed primarily from the designated office location in Sri Lanka Colombo, with remote collaboration permitted as needed.
2. The UX UI Designer engaged under this Purchase Order shall adhere to all project timelines, deliverable specifications, and quality standards outlined in the attached Statement of Work (SOW-2025-089). Failure to meet agreed milestones may result in contractual penalties as defined in Section 12 of the master service agreement.
3. Payment terms: 30% advance upon acceptance of this Purchase Order, 40% upon completion of the design system and mid-project deliverables, and 30% upon final project acceptance. All payments shall be made via bank transfer to the vendor's account registered in Sri Lanka.
4. All intellectual property, design assets, source files, and documentation created by the UX UI Designer during the term of this Purchase Order shall become the exclusive property of Meridian Digital Solutions upon full payment.
5. The vendor shall ensure that the UX UI Designer maintains all necessary professional certifications, software licenses, and data protection compliance in accordance with Sri Lankan Information and Communication Technology Act and applicable international standards.
6. Confidentiality: The UX UI Designer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All project data, user research findings, and proprietary information accessed during the engagement in Sri Lanka Colombo shall remain strictly confidential.
7. This Purchase Order is subject to Sri Lankan commercial law. Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act of Sri Lanka.
8. The vendor is responsible for providing a qualified, experienced UX UI Designer with a minimum of five (5) years of professional experience in digital product design, portfolio review, and demonstrated expertise in design thinking methodologies.
9. Any amendments, scope changes, or extensions to this Purchase Order must be documented in writing and signed by both parties. Verbal modifications are not valid under this Purchase Order.
10. The engagement location in Sri Lanka Colombo is subject to change only with mutual written consent. The vendor shall bear any costs associated with relocation of the UX UI Designer if a worksite change is approved.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a UX UI Designer in Sri Lanka Colombo. This Purchase Order becomes effective upon the last signature below.
