This Purchase Order is issued by Meridian Digital Solutions Ltd to engage the services of a qualified UX UI Designer for the design and development of a comprehensive digital product experience. All work associated with this Purchase Order shall be performed in and around the United Kingdom London metropolitan area, with primary on-site deliverables to be presented at the Buyer's London headquarters.
The purpose of this Purchase Order is to formally procure the professional services of a senior UX UI Designer to undertake the full-spectrum user experience and user interface design for Meridian Digital Solutions Ltd's flagship enterprise platform, "MeridianFlow." The UX UI Designer shall be responsible for conducting user research, developing information architecture, creating wireframes, producing high-fidelity visual designs, building interactive prototypes, and establishing a comprehensive design system for the platform.
The UX UI Designer shall operate primarily from the United Kingdom London office located at 128 Fleet Street, EC4A 2BE, with a minimum of three (3) days per week on-site presence. Remote work from any location within the United Kingdom London postal district is permissible for the remaining days, subject to the Buyer's approval. All design deliverables, presentations, and stakeholder reviews shall be conducted in English, in accordance with the standard business language of the United Kingdom London professional services sector.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- Intellectual Property: Upon full and final payment of all amounts due under this Purchase Order, all intellectual property rights in the UX UI Designer's deliverables, including but not limited to wireframes, design files, prototypes, and design system assets, shall vest exclusively in Meridian Digital Solutions Ltd.
- Confidentiality: The UX UI Designer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Payment Schedule: Payment shall be made in three (3) equal instalments: 33% upon execution of this Purchase Order, 33% upon delivery of high-fidelity UI designs, and 34% upon final acceptance of all deliverables. All payments shall be made via BACS transfer to the Seller's designated United Kingdom London bank account.
- Acceptance Criteria: The Buyer shall have ten (10) business days following delivery of each milestone to review and accept or reject the UX UI Designer's work. Rejection must be accompanied by written, specific reasons for non-conformity.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination.
- Working Location: The primary working location for this Purchase Order engagement is the Buyer's office in United Kingdom London. The UX UI Designer is responsible for their own travel, equipment, and software licences required to fulfil the obligations under this Purchase Order.
- Compliance: The UX UI Designer warrants that all deliverables shall comply with the UK Equality Act 2010, the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA, and all applicable data protection regulations under the UK GDPR.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a UX UI Designer in United Kingdom London. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorised signatories.
