This Purchase Order is issued by Meridian Digital Solutions LLC to engage Clarity Interface Design Group for the provision of specialized UX UI Designer services. The UX UI Designer shall deliver a comprehensive user experience and user interface design package for the buyer's enterprise customer-portal platform. • Payment Schedule: 30% upon execution of this Purchase Order, 40% upon delivery of high-fidelity UI designs, and 30% upon final acceptance of all deliverables.
• Payment Method: Wire transfer to the supplier's designated bank account in United States Houston, Texas. ACH instructions are provided in Appendix B.
• Net Terms: Net 30 days from the date of invoice receipt. Late payments shall accrue interest at 1.5% per month.
• Currency: All amounts are denominated in United States Dollars (USD).

• Project Start Date: June 23, 2025
• Estimated Completion: September 15, 2025
• Delivery Location: All physical deliverables (printed style guides, presentation materials) shall be delivered to the buyer's office at 4500 Post Oak Blvd, United States Houston, TX 77056. Digital deliverables shall be transferred via the buyer's secure project management portal.
• Acceptance Period: The buyer shall have ten (10) business days from delivery to inspect and accept or reject each milestone deliverable.

• This Purchase Order is governed by the laws of the State of Texas and the federal laws of the United States. Any disputes shall be resolved through binding arbitration in United States Houston, Harris County, Texas.
• The UX UI Designer shall maintain full intellectual property ownership of pre-existing tools, templates, and methodologies. All custom work product created specifically for this engagement shall transfer to the buyer upon full payment.
• The supplier warrants that all deliverables shall be original, free from infringement of third-party rights, and shall comply with WCAG 2.1 AA accessibility standards.
• Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date.
• The UX UI Designer shall comply with all applicable data protection regulations, including but not limited to the Texas Identity Theft Enforcement and Protection Act, when handling any user data collected during research and testing phases in United States Houston.
• This Purchase Order constitutes the entire agreement between the parties regarding the services described herein and supersedes all prior negotiations, representations, or agreements.
