This Purchase Order is issued by BrightPath Digital Solutions LLC to formally request and authorize the procurement of professional UX UI Designer services from CreativeEdge Design Studio. The UX UI Designer shall be engaged to deliver a comprehensive user experience and user interface design package for the company's new enterprise customer portal. All design work, client meetings, and on-site collaboration sessions shall be conducted in United States Miami, Florida, ensuring direct communication and alignment with the local business community and client base.

The UX UI Designer is expected to bring a minimum of eight (8) years of professional experience in digital product design, with a demonstrated portfolio of enterprise-level applications. The scope of work includes user research, information architecture, wireframing, high-fidelity prototyping, interactive design, design system development, and usability testing facilitation. The UX UI Designer shall report directly to the Procurement Director and the VP of Product in United States Miami.

• Payment Terms: Payment shall be made in monthly installments of $26,000.00, due within thirty (30) days of invoice submission. The final payment of $26,000.00 shall be due upon successful completion and acceptance of all deliverables. All payments shall be processed via wire transfer to the account designated by CreativeEdge Design Studio.
• Work Location: The UX UI Designer shall conduct a minimum of three (3) days per week on-site at the BrightPath Digital Solutions office in United States Miami, FL 33131. Remote work is permitted for the remaining days with prior written approval from the Procurement Director.
• Intellectual Property: All work product, including but not limited to wireframes, prototypes, design files, design system components, and documentation created under this Purchase Order, shall be the sole and exclusive property of BrightPath Digital Solutions LLC upon full payment. The UX UI Designer retains the right to display completed work in their professional portfolio only with written consent.
• Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, client data, and business strategies encountered during the engagement in United States Miami. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A to this Purchase Order.
• Revisions: Two (2) rounds of revisions are included per design phase. Additional revision cycles beyond the included rounds shall be billed at the standard hourly rate of $150.00 per hour, subject to prior written authorization via a Purchase Order amendment.
• Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the UX UI Designer shall be compensated for all work completed and accepted up to the termination date, plus a 10% completion fee on the remaining contracted value.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising from this engagement shall be resolved through binding arbitration in United States Miami, in accordance with the rules of the American Arbitration Association.
• Compliance: The UX UI Designer warrants that all design deliverables shall comply with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards and applicable United States federal and state accessibility regulations.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the procurement of UX UI Designer services as described herein. The Purchase Order is effective upon execution by both authorized representatives.
