1. Scope of Work: This Purchase Order authorizes Apex Creative Design Group LLC to provide the services of a dedicated UX UI Designer for the Enterprise Platform Redesign project. The UX UI Designer shall be a senior-level professional with a minimum of eight (8) years of experience in user experience and user interface design, with demonstrated expertise in enterprise software, SaaS platforms, and design systems. All work shall be performed in accordance with the project specifications outlined in the attached Statement of Work (SOW-2025-0042).
2. Location and Work Arrangement: The UX UI Designer shall conduct a minimum of three (3) days per week on-site at the Buyer's office located in United States New York City, 245 Park Avenue, Suite 1800. Remote work is permitted for the remaining days, provided that all deliverable deadlines are met and communication channels remain accessible during standard business hours (9:00 AM – 6:00 PM Eastern Time).
3. Payment Schedule: Payment shall be made in accordance with the following milestones: 25% upon project kickoff and approval of the research plan; 25% upon delivery of wireframes and information architecture; 25% upon completion of high-fidelity designs and design system; and 25% upon final handoff and completion of the QA support period. Invoices shall be submitted to the accounts payable department of Meridian Digital Solutions, Inc. in United States New York City.
4. Intellectual Property: All work product, including but not limited to wireframes, mockups, design system components, prototypes, research findings, and documentation created by the UX UI Designer under this Purchase Order, shall be the sole and exclusive property of Meridian Digital Solutions, Inc. upon full payment. The Supplier grants a full and irrevocable assignment of all intellectual property rights.
5. Confidentiality: The Supplier and the assigned UX UI Designer agree to maintain strict confidentiality regarding all proprietary information, trade secrets, user data, and business strategies of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered and deliverables completed up to the date of termination. The Supplier shall deliver all work-in-progress files and documentation within ten (10) business days of the termination notice.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States. Any disputes arising under this agreement shall be resolved through binding arbitration in New York City, New York, in accordance with the rules of the American Arbitration Association.
8. Compliance: The Supplier warrants that the UX UI Designer engaged under this Purchase Order is properly authorized to perform services in the United States and that all work shall comply with applicable federal, state, and local laws in New York City, including but not limited to accessibility standards (WCAG 2.1 AA) and data protection regulations.
