The UX UI Designer shall be responsible for conducting comprehensive user research, creating wireframes, developing high-fidelity mockups, building interactive prototypes, establishing a complete design system, and ensuring that all digital interfaces comply with the latest accessibility standards and local user behavior patterns specific to the Uzbekistan Tashkent metropolitan area and surrounding regions.

Amount in words: Two Hundred Eighty-Seven Million Eight Hundred Forty Thousand Uzbekistani Soms only.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 30% Advance Payment: Due within 10 business days of acceptance of this Purchase Order, payable to the supplier's bank account in Tashkent, Uzbekistan.
• 40% Milestone Payment: Due upon delivery and approval of all high-fidelity UI mockups and the interactive prototype.
• 30% Final Payment: Due upon completion of the design system handover and the final month of the UX UI Designer retainer period.

All payments shall be processed in Uzbekistani Soms (UZS) via bank transfer to the supplier's designated account at a licensed commercial bank operating in Uzbekistan Tashkent. Late payments shall incur a penalty of 0.5% per calendar day as stipulated under the Civil Code of the Republic of Uzbekistan.

The UX UI Designer shall commence work on 1 July 2025 and shall complete all deliverables no later than 31 December 2025. All on-site activities, including user research sessions, usability testing workshops, and design review meetings, shall be conducted at the Purchaser's headquarters located at 12 Amir Temur Avenue, Uzbekistan Tashkent, or at mutually agreed alternative venues within the Tashkent city limits. Remote collaboration tools shall be permitted for non-critical tasks, provided that a minimum of 60% of all working hours are spent on-site in Tashkent.

1. This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier upon signature by both authorized representatives.
2. The UX UI Designer shall maintain full confidentiality of all proprietary data, user information, and business strategies encountered during the engagement in Uzbekistan Tashkent.
3. All intellectual property rights in the final deliverables shall transfer to the Purchaser upon full payment. The Supplier retains the right to display the work in a professional portfolio with prior written consent.
4. The Supplier shall comply with all applicable labor laws, tax regulations, and data protection statutes of the Republic of Uzbekistan.
5. Either party may terminate this Purchase Order with 30 days' written notice. In such an event, the Purchaser shall pay for all services rendered up to the termination date.
6. Disputes arising from this Purchase Order shall be resolved through arbitration in Tashkent, Uzbekistan, in accordance with the rules of the Tashkent International Arbitration Center.
7. This Purchase Order is governed by the laws of the Republic of Uzbekistan.
