Terms & Conditions- Scope of Purchase: This Purchase Order is issued by Clínica Veterinária Brasília, a licensed veterinary practice operating in the Federal District of Brazil, for the procurement of veterinary medical supplies, diagnostic equipment, pharmaceuticals, and clinical furniture necessary to maintain and expand our animal care services in Brasília.
- Delivery: All items listed in this Purchase Order must be delivered to the veterinary clinic premises located in Asa Sul, Brasília, DF, no later than June 26, 2025. The vendor is responsible for all transportation, insurance, and handling costs within the Distrito Federal. Deliveries must comply with ANVISA (Agência Nacional de Vigilância Sanitária) regulations for the transport of veterinary pharmaceuticals and biological products.
- Payment Terms: Payment shall be made via bank transfer (TED/PIX) to the vendor's registered account within 30 (thirty) calendar days from the date of confirmed receipt and inspection of all goods. The total amount due is R$ 217,861.10 (one hundred and seventeen thousand eight hundred sixty-one reais and ten centavos). Late payments shall incur a penalty of 1% per month plus SELIC interest as per Brazilian commercial law.
- Quality & Compliance: All veterinary supplies, medications, and equipment must be ANVISA-registered and carry valid lot numbers and expiration dates. The vendor guarantees that all pharmaceuticals and vaccines are stored and transported under appropriate cold-chain conditions (2°C to 8°C) as required for veterinary biological products in Brazil. Any item found to be expired, damaged, or non-compliant upon delivery shall be rejected at no additional cost to the veterinary clinic.
- Warranty: All capital equipment (X-Ray machine, anesthesia machines, examination tables, dental kits) shall carry a minimum manufacturer warranty of 24 months from the date of installation. The vendor shall provide on-site technical support in Brasília for the first 12 months of warranty coverage.
- Regulatory Compliance: The vendor acknowledges that this Purchase Order is subject to the regulations of the Conselho Federal de Medicina Veterinária (CFMV) and the local veterinary authority of Brasília (DF). All veterinary pharmaceuticals must be dispensed and stored in accordance with CFMV Resolution No. 1.045/2012 and applicable ANVISA RDCs.
- Intellectual Property & Confidentiality: The terms of this Purchase Order, including pricing and item quantities, are confidential and shall not be disclosed to third parties without written consent from Clínica Veterinária Brasília.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília, Distrito Federal. Any disputes arising from this document shall be resolved through the Consumer Protection Agency (PROCON-DF) or the competent judicial forum in Brasília.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Distrito Federal region.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute valid amendments to this document.
