Terms & Conditions of This Purchase Order
- 1. Scope: This Purchase Order is issued by Clínica Veterinária São Paulo Central for the procurement of Veterinarian supplies, pharmaceuticals, and diagnostic equipment to be delivered to the clinic premises in São Paulo, Brazil. All items must comply with ANVISA (Agência Nacional de Vigilância Sanitária) regulations applicable in Brazil.
- 2. Delivery: The Supplier shall deliver all goods to the Buyer's address in São Paulo, SP, Brazil, within the dates specified in the item table. Late delivery beyond five (5) business days shall incur a penalty of 0.5% of the affected item value per day, capped at 10%.
- 3. Payment Terms: Payment shall be made via bank transfer (TED/PIX) to the Supplier's account in Brazil within thirty (30) calendar days from the date of confirmed receipt and inspection of all goods. The total amount due under this Purchase Order is R$ 85,967.66 (eighty-five thousand nine hundred sixty-seven reais and sixty-six centavos).
- 4. Quality Assurance: All pharmaceutical and diagnostic products must carry valid ANVISA registration numbers and be within their expiration dates (minimum 18 months remaining at delivery). The Veterinarian team at the Buyer's clinic in São Paulo reserves the right to reject any lot that fails quality inspection.
- 5. Warranties: Equipment items (Items 04 and 06) carry a minimum 24-month manufacturer warranty. The Supplier shall coordinate any warranty claims with the manufacturer on behalf of the Buyer.
- 6. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil, specifically the Civil Code (Código Civil, Lei nº 10.406/2002) and the Consumer Protection provisions where applicable. Disputes shall be resolved in the courts of São Paulo, SP, Brazil.
- 7. Validity: This Purchase Order is valid for acceptance within ten (10) business days from the issue date. The Supplier must confirm acceptance in writing via email to the Buyer's procurement department.
- 8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the São Paulo metropolitan region.
