- 1. Scope of Purchase Order: This Purchase Order is issued by Beijing Capital Veterinary Medical Center for the procurement of veterinary diagnostic equipment, surgical instruments, pharmaceuticals, and consumable supplies. All items listed herein are intended for use by licensed veterinarians and veterinary technicians operating within the clinical facilities located in Chaoyang District, Beijing, China.
- 2. Quality Standards: All veterinary supplies and equipment must comply with the National Medical Products Administration (NMPA) of China and meet the relevant GB (Guobiao) national standards. Pharmaceutical items must carry valid Chinese drug registration certificates. The supplier warrants that all products are new, unused, and within their stated shelf life of no less than eighteen (18) months from the date of delivery.
- 3. Delivery: The supplier shall deliver all items to the receiving location in Beijing, China, no later than July 01, 2025. Delivery shall be made during standard business hours (08:00–17:00 China Standard Time). The supplier is responsible for all transportation costs, insurance, and risk of loss until the goods are received and inspected at the veterinary center in Beijing.
- 4. Inspection and Acceptance: Upon delivery, the designated veterinarian in charge (Dr. Li Ming) shall inspect all items within five (5) business days. Any discrepancies in quantity, condition, or specification must be reported in writing to the supplier within the inspection period. Unaccepted items shall be returned at the supplier's expense.
- 5. Payment: Payment of the total amount of CNY 451,750.00 (Four Hundred Fifty-One Thousand Seven Hundred Fifty Chinese Yuan) shall be made via bank transfer within thirty (30) calendar days from the date of confirmed acceptance. The supplier shall issue a valid VAT (Value Added Tax) invoice at the applicable rate of 13% for goods.
- 6. Warranty: All capital equipment (ultrasound machine, anesthesia machine, X-ray detector, examination tables) carries a minimum warranty of twenty-four (24) months from the date of acceptance. The supplier shall provide on-site repair service in Beijing within forty-eight (48) hours of a warranty claim.
- 7. Regulatory Compliance: The supplier acknowledges that all veterinary pharmaceuticals and controlled substances included in this Purchase Order must be handled, transported, and stored in accordance with the Veterinary Drug Administration Regulations of the People's Republic of China. The veterinary center in Beijing shall maintain proper records as required by the local Municipal Commission of Agriculture and Rural Affairs.
- 8. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Beijing metropolitan area.
- 9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising herefrom shall be resolved through the Beijing Arbitration Commission (BAC) in accordance with its arbitration rules.
- 10. Confidentiality: Both parties agree to maintain the confidentiality of pricing, business terms, and operational details contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent.
