Terms & Conditions – Purchase Order for Veterinarian Use in Colombia Bogotá
- Delivery: All items under this Purchase Order shall be delivered to the Veterinarian clinic premises at Cra. 15 # 85-42, Piso 3, Bogotá D.C., Colombia within fifteen (15) business days from the date of this Purchase Order. Delivery must occur between 8:00 AM and 4:00 PM, Monday through Friday.
- Payment Terms: Payment shall be made via bank transfer (Transferencia Bancaria) to the supplier's designated account within thirty (30) days of the invoice date. The buyer, Clínica Veterinaria Los Andes S.A.S., is a registered Veterinarian practice in Colombia Bogotá and shall issue the corresponding electronic invoice (Factura Electrónica) in compliance with DIAN regulations.
- Quality Assurance: All pharmaceutical products and medical supplies must comply with the regulations established by INVIMA (Instituto Nacional de Vigilancia de Medicamentos y Alimentos) and the Colombian Veterinary Medical Association. The Veterinarian buyer reserves the right to inspect all goods upon delivery and reject any items that do not meet the specified standards.
- Warranty: All diagnostic equipment (items 01, 05, 08, and 10) shall carry a minimum manufacturer warranty of twenty-four (24) months. The supplier shall coordinate any warranty claims directly with the Veterinarian practice in Colombia Bogotá.
- Regulatory Compliance: The supplier guarantees that all veterinary pharmaceuticals listed in this Purchase Order are legally authorized for sale and use by licensed Veterinarians in Colombia. Proper storage and transport conditions (cold chain where applicable) must be maintained throughout the delivery process within Bogotá D.C.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Bogotá metropolitan area.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this Veterinarian supply agreement shall be resolved in the competent courts of Bogotá D.C., Colombia.
- Confidentiality: Both parties agree to maintain the confidentiality of all pricing, business terms, and client information exchanged in connection with this Purchase Order. The Veterinarian practice's patient records and operational data shall remain strictly confidential.
Authorized Signatures: By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the supply of veterinary goods and services in Colombia Bogotá. This document constitutes a binding commercial agreement between the Veterinarian buyer and the supplier.
