Terms & Conditions of this Purchase Order
- This Purchase Order is issued by Clinique Vétérinaire du Vieux-Port, a registered Veterinary practice located in France Marseille, and constitutes a binding commercial agreement upon written acceptance by the supplier.
- All goods listed herein are intended exclusively for use by the Veterinarian and licensed veterinary staff operating within the clinic premises at 12 Quai de Rive Neuve, 13007 Marseille, France. No resale or redistribution is permitted without prior written consent.
- Delivery of all items shall be completed no later than 30 July 2025 to the designated France Marseille address. The supplier is responsible for all transportation, insurance, and risk of loss until goods are received and signed for by the Veterinarian or an authorized representative at the clinic.
- Payment shall be made via bank transfer (virement bancaire) within thirty (30) calendar days of the date of invoice, in accordance with French commercial law (Code de commerce, Article L441-10). Late payments shall accrue interest at the statutory rate plus five percentage points.
- All medical and diagnostic equipment must comply with the European Medical Devices Regulation (EU) 2017/745 and carry valid CE marking. The supplier warrants that all pharmaceutical products are registered with the French Agency for Medicines and Health Products Safety (ANSM) for Veterinary use.
- The Veterinarian reserves the right to inspect all delivered goods within five (5) business days of receipt. Any items found to be defective, damaged, or non-conforming to the specifications stated in this Purchase Order must be replaced or refunded at the supplier's sole expense within ten (10) business days.
- Warranty: All capital equipment (items 01, 02, 03, 07, 09) carries a minimum two-year manufacturer's warranty covering parts and labor. Consumable items (items 04, 05, 06, 08, 10) are warranted to be free from manufacturing defects at the time of delivery.
- This Purchase Order is governed by the laws of the French Republic. Any dispute arising from or in connection with this agreement shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille.
- The supplier shall maintain professional liability insurance of no less than €5,000,000 for the duration of this contract and shall provide a certificate of insurance upon request by the Veterinarian.
- Confidentiality: Both parties agree to treat all pricing, clinical protocols, and patient data shared in connection with this Purchase Order as strictly confidential and shall not disclose such information to third parties without mutual written consent, in compliance with the French Data Protection Act and the EU General Data Protection Regulation (GDPR).
