- This Purchase Order is issued by Sakura Veterinary Clinic, a licensed veterinary practice operating in Japan Tokyo, and constitutes a binding request for the supply of veterinary medical equipment, pharmaceuticals, and consumables as itemized above.
- The Vendor, MediPharm Asia Co., Ltd., acknowledges receipt of this Purchase Order and agrees to fulfill all line items in strict accordance with the specifications, quantities, and delivery timelines stated herein. All products must comply with the Pharmaceutical and Medical Device Act (PMDA) regulations applicable in Japan.
- Delivery shall be made to the clinic premises located in Shibuya-ku, Japan Tokyo, no later than 29 June 2025. The Vendor is responsible for all packaging, insurance, and transportation costs within the Japan Tokyo metropolitan area. Any delay exceeding 48 hours beyond the stated deadline will incur a penalty of 0.5% of the total order value per day.
- All veterinary pharmaceuticals and biological products (including but not limited to vaccines, anesthetics, and antibiotics) must be accompanied by valid certificates of analysis, batch numbers, and expiration dates. The Lead Veterinarian, Dr. Kenji Tanaka, reserves the right to inspect and reject any shipment that does not meet the quality standards required for animal patient care in a professional veterinary clinic.
- Payment shall be made within thirty (30) calendar days from the date of confirmed receipt and acceptance of goods. Payment will be processed via bank transfer to the account designated by the Vendor. The currency of all transactions under this Purchase Order shall be Japanese Yen (JPY).
- The Vendor warrants that all equipment and supplies listed in this Purchase Order are new, unused, and free from defects. A minimum two-year manufacturer's warranty applies to all capital equipment (Items 004, 006, and 008). Consumable items carry a 90-day quality guarantee.
- This Purchase Order is governed by the laws of Japan. Any disputes arising from the interpretation or execution of this document shall be resolved through the Tokyo District Court. Both parties agree to attempt good-faith negotiation before initiating any formal legal proceedings.
- The Vendor shall maintain full confidentiality regarding the operational details, patient records, and proprietary practices of Sakura Veterinary Clinic. No information obtained through this Purchase Order shall be disclosed to third parties without written consent from the clinic's management.
- Any modifications, amendments, or cancellations to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be considered valid under this document.
- This Purchase Order remains valid for a period of sixty (60) days from the date of issue. If the Vendor does not confirm acceptance within fourteen (14) days, this document shall be considered void and the Buyer reserves the right to source supplies from alternative vendors in Japan Tokyo or internationally.
