1. This Purchase Order is issued by Dr. Mariana López Herrera, DVM, a licensed Veterinarian operating Clinica Veterinaria del Valle in Mexico Mexico City, and constitutes a binding request for the supply of veterinary equipment, pharmaceuticals, and consumables as itemized above.
2. The supplier, VetSupply Mexico S.A. de C.V., acknowledges receipt of this Purchase Order and agrees to fulfill all line items in accordance with the specifications, quantities, and delivery schedule stated herein. All products must comply with COFEPRIS (Comisión Federal para la Protección contra Riesgos Sanitarios) regulations applicable in Mexico Mexico City.
3. Delivery shall be made to the Veterinarian's clinic address in Mexico Mexico City on or before June 26, 2025. The supplier is responsible for all transportation costs within the Mexico Mexico City metropolitan area. Any delay exceeding 48 hours beyond the stated delivery date will result in a 2% penalty per day on the affected line items.
4. All pharmaceutical products, including antibiotics and antiseptics, must be accompanied by valid COFEPRIS registration numbers, batch numbers, and expiration dates. The Veterinarian reserves the right to reject any shipment containing expired, damaged, or non-compliant items without penalty.
5. Payment shall be made via SPEI bank transfer within thirty (30) calendar days of the date of the commercial invoice (Factura) issued by the supplier. The invoice must include the supplier's RFC, the buyer's RFC, and all applicable tax details as required by the Mexican SAT (Servicio de Administración Tributaria).
6. Warranty: All equipment items (Items 1, 2, 6, 7, and 10) carry a minimum manufacturer warranty of twelve (12) months from the date of delivery. The supplier shall coordinate any warranty claims directly with the manufacturer on behalf of the Veterinarian.
7. This Purchase Order is governed by the commercial laws of the United Mexican States. Any disputes arising from this Purchase Order shall be resolved through the commercial courts of Mexico Mexico City. Both parties agree to attempt good-faith mediation before initiating any legal proceedings.
8. The Veterinarian (buyer) reserves the right to modify, cancel, or amend this Purchase Order in writing up to five (5) business days prior to the scheduled delivery date. Any modifications after this period are subject to the supplier's approval and potential restocking fees.
9. All personal data exchanged in connection with this Purchase Order shall be handled in accordance with the Mexican Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) and applicable regulations in Mexico Mexico City.
