Terms and Conditions of This Purchase Order

1. This Purchase Order is issued by Clinique Vétérinaire Atlas, a licensed veterinary practice operating in Casablanca, Morocco, and is governed by the laws of the Kingdom of Morocco.
2. All veterinary pharmaceuticals, vaccines, and biological products listed herein must comply with the regulations set forth by the Moroccan Ministry of Agriculture, Maritime Fisheries, Rural Development, and Water and Infrastructure, as well as the national veterinary pharmacopoeia standards.
3. The vendor shall ensure that all items are delivered to the specified address in Casablanca, Morocco, in their original sealed packaging with valid expiration dates of no less than eighteen (18) months from the date of delivery.
4. Payment shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of receipt of a valid tax invoice (Facture) issued in accordance with Moroccan fiscal regulations.
5. The vendor is responsible for the proper cold-chain storage and transportation of all temperature-sensitive veterinary products (vaccines, injectables) from the point of dispatch to the veterinary clinic in Casablanca.
6. Installation and calibration of the portable veterinary X-Ray machine shall be performed by a certified biomedical engineer registered with the relevant Moroccan regulatory authority. A calibration certificate shall accompany the equipment upon delivery.
7. Any discrepancy in quantity, quality, or condition of the delivered veterinary supplies must be reported in writing to the vendor within five (5) business days of delivery. The vendor shall replace defective or non-conforming items at no additional cost to the veterinary clinic.
8. This Purchase Order becomes binding upon written acceptance by both parties. No modification or amendment shall be valid unless documented in a written addendum signed by authorized representatives of both the veterinary clinic and the supplier.
9. The vendor warrants that all veterinary products supplied are free from defects, properly labeled in French and Arabic as required by Moroccan consumer and veterinary product labeling laws, and carry the necessary import permits where applicable.
10. Force majeure events, including but not limited to natural disasters affecting the Casablanca region or national public health emergencies declared by the Moroccan government, shall suspend delivery obligations for the duration of the event.
