• This Purchase Order is issued by Amsterdam Veterinary Care Group B.V. for the procurement of equipment, pharmaceuticals, and consumables required for the daily operation of its Veterinarian practice located in Netherlands Amsterdam. All items listed herein are intended for use by licensed Veterinarian professionals registered with the Dutch Veterinary Association (Nederlandse Vereniging van Dierartsen).
• The supplier, MediVet Supplies International N.V., acknowledges that all pharmaceutical and biological products included in this Purchase Order must comply with the Dutch Medicines for Animals Act (Wet op de Geneesmiddelen voor Dieren) and all applicable European Union veterinary regulations. The Veterinarian receiving the goods reserves the right to reject any shipment that does not meet these regulatory standards.
• Delivery of all items under this Purchase Order shall be made to the Amsterdam Veterinary Care Group facility at Herengracht 412, 1017 BZ Amsterdam, Netherlands. The delivery window is between 08:00 and 16:00 CET on the required delivery date. The supplier must coordinate with the on-duty Veterinarian at the Amsterdam location to schedule the unloading and inspection of goods.
• Payment shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of the invoice date, provided that all goods have been received and inspected by the Veterinarian team without discrepancy. Late payments shall accrue interest at the statutory Dutch rate.
• All equipment items (examination tables, X-ray system, surgical sets, stethoscopes, refrigeration units) carry a minimum two-year manufacturer's warranty. The supplier shall provide full warranty documentation and after-sales support for the duration of the warranty period. Any defective items discovered within the warranty period shall be replaced at no additional cost to the Veterinarian practice.
• The supplier warrants that all items are new, unused, and in original packaging. No refurbished or second-hand goods shall be accepted under this Purchase Order. The Veterinarian at the Amsterdam clinic will conduct a quality inspection upon delivery and issue a written acceptance or rejection notice within five (5) business days.
• This Purchase Order is governed by the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands. Both parties agree to attempt good-faith mediation before initiating any legal proceedings.
• The supplier shall maintain full insurance coverage for all goods in transit to the Netherlands Amsterdam delivery address. Risk of loss transfers to the buyer only upon confirmed delivery and signature by the authorized Veterinarian representative at the receiving facility.
• Any modifications, additions, or cancellations to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be binding. The total value of this Purchase Order, including VAT, is € 61,615.62 (sixty-one thousand six hundred and fifteen euros and sixty-two cents).
