- This Purchase Order is issued by Auckland Central Veterinary Clinic, a registered veterinary practice operating in New Zealand Auckland, and constitutes a binding offer to purchase the goods and services listed herein from Pacific Vet Supplies Ltd.
- All prices are quoted in New Zealand Dollars (NZD) and are inclusive of the 15% Goods and Services Tax (GST) as mandated by the Inland Revenue Department of New Zealand. The supplier must provide a valid GST invoice upon delivery.
- Delivery of all items (except Line 4 – the portable X-ray unit) shall be made to the Auckland Central Veterinary Clinic premises at 18 Queen Street, Auckland CBD, Auckland 1010, New Zealand Auckland, no later than 28 June 2025. The X-ray unit (Line 4) shall be delivered and installed by 15 July 2025, with a minimum of 48 hours' prior written notice to the Lead Veterinarian on site.
- All pharmaceutical and veterinary biological products must comply with the Medicines (Veterinary) Regulations 2014 and the Animal Health (Export and Import) Act 1999 of New Zealand. The supplier warrants that all items are within their shelf life, properly stored, and accompanied by current Safety Data Sheets (SDS) as required by WorkSafe New Zealand.
- Payment shall be made within thirty (30) calendar days of receipt of a correct and complete tax invoice. Payment will be processed via bank transfer to the supplier's nominated New Zealand bank account. Late payments may incur interest at the rate prescribed under the Commerce Act 1986.
- The Veterinarian in charge at the receiving clinic (Dr. Sarah Mitchell or her authorised delegate) shall inspect all goods upon delivery. Any discrepancies, damaged items, or shortages must be reported in writing to the supplier within five (5) business days of delivery. Failure to report within this period shall constitute acceptance of the goods.
- The supplier shall maintain adequate product liability insurance and professional indemnity cover for all veterinary supplies sold in New Zealand Auckland and throughout New Zealand. Certificates of insurance shall be provided upon request.
- This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this order shall be resolved in the District Court of Auckland, New Zealand Auckland, or by mediation through the New Zealand Dispute Resolution Service.
- The supplier acknowledges that the purchaser is a licensed veterinary practice and that all controlled substances (including but not limited to Euthasol) are to be handled, stored, and transported in strict accordance with the Misuse of Drugs Act 1975 and the relevant New Zealand veterinary prescribing regulations.
- Neither party may assign or transfer this Purchase Order without the prior written consent of the other party. This order may be amended only by mutual written agreement signed by both parties.
