- 4.1 This Purchase Order is issued by Clínica Veterinaria San Miguel S.A.C., a registered veterinary practice operating in the city of Peru Lima, for the procurement of professional veterinarian supplies, pharmaceuticals, and diagnostic equipment.
- 4.2 All veterinarian products listed in this Purchase Order must comply with the regulatory standards established by DIGESA (Dirección General de Medicamentos, Insumos y Drogas) and the Peruvian Ministry of Health. The supplier shall provide all corresponding sanitary permits and product registration certificates upon delivery.
- 4.3 Delivery shall be made to the buyer's facility located in San Isidro, Lima, Peru. The supplier is responsible for all transportation, handling, and installation of equipment within the Peru Lima metropolitan area. Delivery must be completed no later than the required delivery date stated above.
- 4.4 Payment shall be made via bank transfer to the supplier's account in Peruvian Soles (PEN) within thirty (30) calendar days from the date of invoice issuance, provided that all veterinarian goods and equipment have been inspected and accepted by the buyer's veterinary team.
- 4.5 The supplier warrants that all veterinarian equipment and pharmaceuticals are new, unused, and within their full shelf life. A minimum warranty period of twelve (12) months applies to all electronic and mechanical equipment. Pharmaceutical products must have a minimum remaining shelf life of eighteen (18) months at the time of delivery.
- 4.6 In the event of non-conforming goods, the buyer reserves the right to reject any or all items listed in this Purchase Order. The supplier shall replace rejected veterinarian items within five (5) business days at no additional cost to the buyer.
- 4.7 This Purchase Order is governed by the commercial laws of the Republic of Peru. Any disputes arising from this document shall be resolved in the competent courts of Lima, Peru. Both parties agree to attempt mediation before initiating any legal proceedings.
- 4.8 The supplier acknowledges that the purchased veterinarian supplies are intended exclusively for professional veterinary practice and animal patient care in Peru Lima. Resale or redistribution of pharmaceutical items without proper veterinary authorization is strictly prohibited under Peruvian law.
- 4.9 This Purchase Order becomes effective upon signature by both parties. No modification or amendment to this document shall be valid unless made in writing and signed by authorized representatives of both the veterinarian practice and the supplier.
Upon arrival of the veterinarian supplies at the buyer's facility in Peru Lima, the receiving veterinary staff shall conduct a thorough inspection of all items against the line items specified in this Purchase Order. A signed delivery receipt (Acta de Recepción) must be completed within forty-eight (48) hours of delivery. Any discrepancies in quantity, condition, or product specifications must be reported in writing to the supplier within the same period. Failure to report discrepancies within this timeframe shall constitute acceptance of the goods as delivered.
