Terms and Conditions of this Purchase Order

1. This Purchase Order is issued by the undersigned Veterinarian, Dr. Tan Wei Ling, acting as the authorized procurement officer for Meridian Veterinary Care Centre, Singapore Singapore. All items listed herein are intended exclusively for veterinary clinical use in accordance with the regulations set forth by the Singapore Food Agency (SFA) and the Veterinary Surgeons Act.
2. Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed delivery and acceptance of all goods. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Singapore Singapore commercial law.
3. All veterinary pharmaceutical products and biological agents (including but not limited to vaccines, anesthetics, and antibiotics) must be shipped in compliance with the temperature-controlled logistics requirements mandated by the Singapore Singapore Ministry of Health and the SFA. The Veterinarian reserves the right to reject any shipment that does not meet the specified cold-chain integrity standards.
4. Delivery of all items under this Purchase Order shall be made to the clinic address listed above in Singapore Singapore. The supplier is responsible for all freight, insurance, and customs clearance (if applicable) until the goods are received and inspected by the Veterinarian or designated clinic staff.
5. The supplier warrants that all equipment, including the portable X-ray machine and anesthesia machines, shall be fully calibrated, CE-marked or equivalent, and accompanied by valid certificates of conformity prior to delivery in Singapore Singapore. Installation and operator training for the Veterinarian's clinical team shall be provided at no additional cost.
6. Any discrepancies in quantity, quality, or specification upon receipt must be reported to the supplier within five (5) business days. The supplier shall replace or credit defective items within ten (10) business days of the claim.
7. This Purchase Order is governed by the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore or, at the option of either party, resolved through arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
8. The Veterinarian reserves the right to modify, amend, or cancel this Purchase Order in whole or in part by written notice to the supplier, provided that such modification does not prejudice the supplier's reasonable reliance on the original terms.
9. All microchip implants and scanners procured under this Purchase Order must be registered and compatible with the Singapore Singapore national pet microchip database maintained by the SFA to ensure full regulatory compliance for the Veterinarian's practice.
