Terms and Conditions — Purchase Order PO-SEOUL-VET-2025-0417
- Delivery Location: All items under this Purchase Order shall be delivered to the Seoul Central Animal Hospital premises located at 142, Teheran-ro, Gangnam-gu, Seoul, South Korea. The vendor is responsible for all logistics within the Seoul metropolitan area, including traffic-restricted zone permits if applicable.
- Compliance: All pharmaceutical and medical device items must hold valid MFDS (Ministry of Food and Drug Safety) approval for use by a licensed Veterinarian in the Republic of Korea. The vendor shall provide certificates of conformity and import permits where applicable.
- Quality Assurance: The vendor warrants that all equipment and supplies conform to the specifications outlined in this Purchase Order. Any defective items discovered within 90 days of delivery in Seoul shall be replaced at no additional cost to the Veterinarian practice.
- Payment: Payment of the full amount of 70,352,000 KRW shall be made via bank transfer to the vendor's designated account within 30 calendar days of the invoice date, in accordance with South Korean commercial payment regulations.
- Installation and Training: The vendor shall provide on-site installation of all diagnostic and laboratory equipment at the Veterinarian's clinic in Seoul and shall conduct a minimum of four (4) hours of operational training for the veterinary staff.
- Warranty: All capital equipment carries a minimum two-year manufacturer's warranty. Consumable supplies are non-returnable once opened. Warranty service must be available within the Seoul metropolitan area with a 48-hour response time.
- Regulatory Adherence: This Purchase Order is governed by the laws of the Republic of Korea, including the Veterinary Medical Act and the Medical Device Act. Any disputes shall be resolved through the Seoul District Court.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms of this Purchase Order and any proprietary information exchanged during the procurement process for the Veterinarian practice.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, or public health emergencies affecting operations in South Korea Seoul, provided written notice is given within 5 business days.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both the authorized representative of the Veterinarian practice and the vendor's authorized officer.
