- This Purchase Order is issued by Clinica Veterinaria Barcelona S.L. and constitutes a binding request for the Veterinarian supplies and equipment listed herein. All items must comply with current European Union medical-device regulations and Spanish veterinary-pharmacy legislation (Ley 26/1984 de Ordenación Farmacéutica).
- The Supplier warrants that all products are new, unused, and within their stated shelf life. Any item found to be expired, damaged, or non-conforming upon receipt at the Barcelona facility shall be replaced at the Supplier's sole expense within five (5) business days.
- Delivery shall be made to the address specified in Section 2. The Supplier is responsible for all transportation, insurance, and customs clearance costs up to the point of delivery in Spain Barcelona. Risk of loss transfers to the Buyer only upon signed delivery receipt.
- Payment shall be effected by SEPA bank transfer within thirty (30) calendar days of the Supplier's valid invoice. Late payments shall accrue interest at the European Central Bank reference rate plus four (4) percentage points, in accordance with Spanish Royal Decree-Law 4/2013 on late-payment penalties in commercial transactions.
- The Veterinarian clinic reserves the right to inspect all goods upon arrival. A written inspection report will be provided to the Supplier within three (3) business days. Any discrepancies must be reported in writing to the Supplier's designated contact.
- All equipment items (Ref 03, 04, 08, 10) shall include a minimum two-year manufacturer's warranty, on-site service in the Barcelona metropolitan area, and full CE-marking documentation. Installation and operator training for the X-ray unit and blood-analyser shall be provided by the Supplier at no additional charge.
- This Purchase Order is governed by the laws of Spain. Any dispute arising from or in connection with this order shall be subject to the exclusive jurisdiction of the Courts of Barcelona, Spain.
- Neither party may assign its obligations under this Purchase Order without the prior written consent of the other party.
- All communications regarding this order shall be directed to the contacts listed in Section 1 and shall be in English or Spanish.
Note to Supplier: The portable X-ray unit (Ref 04) must be delivered with a valid Spanish radiation-safety certificate (Certificado de Seguridad Radiológica) issued by the Agència Catalana de Seguretat Alimentària or the corresponding Catalan authority. The blood-analyser (Ref 08) must be pre-configured for the clinic's LIS software (IDM Vet 4.2). Please schedule a pre-delivery site survey at the Barcelona premises no later than 20 June 2025 to confirm electrical and spatial requirements.
