4.1 Delivery: All physical goods listed in this Purchase Order shall be delivered to the premises of Clínica Veterinaria Los Palos Grandes, C.A., located in the Los Palos Grandes sector of Caracas, Venezuela, within fifteen (15) business days from the date of acceptance of this Purchase Order. The Supplier is responsible for all transportation, handling, and insurance of goods until they are received and inspected at the Veterinarian clinic facility in Caracas.
4.2 Quality Assurance: All pharmaceutical products, surgical supplies, and diagnostic equipment must comply with the regulations established by the Venezuelan Food and Drug Administration (ANAV) and the applicable standards of the Venezuelan Ministry of Health. The Veterinarian purchasing entity reserves the right to reject any item that does not meet the specified quality, expiration date, or regulatory requirements for use in a veterinary practice in Venezuela.
4.3 Payment: Payment shall be made in US Dollars (USD) via bank transfer to the account designated by the Supplier within thirty (30) calendar days from the date of confirmed delivery and acceptance of all items. Late payments shall incur a penalty of 1.5% per month, in accordance with commercial law applicable in Venezuela.
4.4 Warranties: The Supplier warrants that all equipment, particularly the portable X-ray machine and ultrasound probe, shall carry a minimum warranty of twenty-four (24) months from the date of installation at the Veterinarian clinic in Caracas. Pharmaceutical products must have a minimum shelf life of eighteen (18) months at the time of delivery.
4.5 Professional Services: The continuing education workshop for Veterinarian staff (Item 009) shall be conducted in Caracas, Venezuela, at a venue to be confirmed by the Supplier no later than ten (10) business days prior to the event. The Purchaser shall provide four (4) Veterinarian professionals for attendance.
4.6 Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party with a minimum of ten (10) business days' notice. Cancellation after the Supplier has commenced procurement of specialized veterinary equipment may incur a non-refundable deposit of up to 20% of the affected line items.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order related to the Veterinarian services and supplies shall be resolved through the competent commercial courts of Caracas, Venezuela.
4.8 Confidentiality: Both parties agree to maintain the confidentiality of pricing, business practices, and client information related to the Veterinarian practice in Caracas. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
