This Purchase Order is issued by Harbourline Media Group Pty Ltd (hereinafter referred to as the "Buyer") to engage Sydney Lens Productions (hereinafter referred to as the "Videographer") to deliver professional videography services for the Buyer's corporate brand campaign, "Harbourline 2025: Stories from the Water." All filming, post-production, and delivery activities shall be conducted within the metropolitan and surrounding regions of Australia Sydney, including but not limited to the Sydney CBD, the Northern Beaches, the Western Sydney corridor, and the Port Jackson waterfront.

The Videographer shall provide the following services as outlined in this Purchase Order:

• Pre-production planning meetings (minimum 3 sessions) to be held at the Buyer's offices in Australia Sydney or at a mutually agreed location within the Sydney metropolitan area.
• On-location filming across no fewer than 5 distinct Australia Sydney locations over a period of 4 consecutive shooting days.
• Studio-based interview and testimonial recording at the Videographer's facility in Leichhardt, Australia Sydney.
• Post-production including editing, colour grading, sound mixing, motion graphics, and subtitle creation in line with Australian Broadcasting Standards.
• Delivery of final master files in 4K UHD (3840×2160) and 1080p formats, along with social media cut-downs (15s, 30s, 60s) and a 3-minute hero film.

All prices are quoted in Australian Dollars (AUD) and are inclusive of GST as per Australian Taxation Office regulations. This Purchase Order is governed by the laws of the State of New South Wales, Australia.

1. Acceptance of Purchase Order: The Videographer shall confirm acceptance of this Purchase Order in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order void.
2. Payment Terms: Payment shall be made as follows: 30% deposit ($13,233.00 incl. GST) upon acceptance of this Purchase Order; 40% ($17,644.00 incl. GST) upon completion of principal photography; 30% ($13,233.00 incl. GST) upon final delivery and written acceptance of all deliverables. All payments shall be made by electronic funds transfer (EFT) to the Videographer's nominated Australian bank account.
3. Intellectual Property: Upon full and final payment, all rights, title, and interest in and to the final video deliverables, including but not limited to the hero film, social media cut-downs, and all associated motion graphics, shall vest in the Buyer. The Videographer retains the right to include behind-the-scenes footage and process documentation in their professional portfolio, subject to the Buyer's prior written approval.
4. Confidentiality: The Videographer agrees to treat all information, footage, scripts, and brand materials provided by the Buyer as strictly confidential. This obligation shall survive the completion of this Purchase Order for a period of three (3) years.
5. Compliance with Australian Law: The Videographer warrants that all services rendered under this Purchase Order shall comply with all applicable Australian federal and New South Wales state legislation, including but not limited to the Privacy Act 1988 (Cth), the Copyright Act 1968 (Cth), and the Work Health and Safety Act 2011 (NSW). All filming in Australia Sydney public locations shall be conducted in accordance with the relevant local council permit requirements.
6. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including but not limited to severe weather events affecting the Australia Sydney region, government-mandated restrictions, or natural disasters.
7. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved by good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the rules of the New South Wales Fair Trading Commission, Australia Sydney. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
8. Termination: Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Videographer shall be compensated for all work completed and reasonable, documented expenses incurred up to the date of termination.
9. Warranties: The Videographer warrants that all deliverables shall be free from defects, shall conform to the specifications set out in this Purchase Order, and shall not infringe upon the intellectual property rights of any third party. The Videographer shall indemnify the Buyer against any and all claims arising from a breach of this warranty.
10. Entire Agreement: This Purchase Order, together with any attached schedules and appendices, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, and agreements relating to the engagement of the Videographer for the Australia Sydney production.
