Description of Services — Videographer EngagementThis Purchase Order is issued by Atlantic Media Productions Ltda. to formally engage the services of Lumen Visual Studios ME, a professional Videographer operating in Brazil Rio de Janeiro, for the production of a comprehensive corporate video campaign. The Videographer shall be responsible for all aspects of pre-production planning, on-location filming, post-production editing, color grading, sound design, and final delivery of the completed video assets. All filming and production activities shall take place exclusively within the metropolitan area of Brazil Rio de Janeiro, including but not limited to the neighborhoods of Copacabana, Leblon, Ipanema, Botafogo, and the historic center of Rio de Janeiro. The Videographer is expected to demonstrate in-depth knowledge of the local geography, lighting conditions, and cultural context specific to Brazil Rio de Janeiro to ensure the final product authentically represents the region.

1. Scope of Work: The Videographer shall perform all services described in this Purchase Order in accordance with the creative brief provided by the Buyer. The Videographer is solely responsible for the technical quality of all footage captured and the professional standard of the final edited deliverable. All work shall be conducted in compliance with Brazilian labor laws, municipal filming permits in Rio de Janeiro, and applicable aviation regulations for drone operations in Brazil Rio de Janeiro.
2. Intellectual Property: Upon full payment of this Purchase Order, all rights to the final video deliverables, including but not limited to raw footage, edited sequences, and associated audio, shall transfer exclusively to the Buyer. The Videographer retains the right to include the final work in their professional portfolio, subject to a 30-day embargo period from the date of final delivery.
3. Payment Schedule: A 40% advance payment (R$ 43,565.60) shall be due within 5 business days of acceptance of this Purchase Order. The remaining 60% (R$ 65,348.40) shall be due within 30 days of the final delivery date of July 15, 2025. All payments shall be made via bank transfer to the account specified by the Videographer.
4. Cancellation and Termination: Either party may terminate this Purchase Order with 15 days written notice. In the event of cancellation by the Buyer after pre-production has commenced, the Videographer shall be compensated for all work completed to date plus 10% of the remaining contract value.
5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather conditions in Brazil Rio de Janeiro, government-mandated shutdowns, or natural disasters affecting the Rio de Janeiro metropolitan area.
6. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from this agreement shall be resolved in the courts of Rio de Janeiro, RJ, Brazil.
Important Note: The Videographer is required to obtain all necessary municipal filming permits from the Prefeitura do Rio de Janeiro prior to any on-location shooting. The Buyer shall provide access to all corporate facilities and branded materials required for the production. The Videographer must carry valid professional liability insurance with a minimum coverage of R$ 500,000 for the duration of the engagement in Brazil Rio de Janeiro.Authorized by (Buyer):
