This Purchase Order is issued by Andes Media Productions SpA (hereinafter referred to as the "Buyer") to Patagonia Visual Studios Ltda. (hereinafter referred to as the "Supplier") for the engagement of a professional Videographer to produce a comprehensive corporate video campaign. The Videographer shall be responsible for all aspects of pre-production, on-site filming, post-production editing, color grading, sound mixing, and final delivery of the video assets. All filming and production activities associated with this Purchase Order shall take place exclusively within the metropolitan area of Chile Santiago, including but not limited to the communes of Providencia, Las Condes, Santiago Centro, and Ñuñoa. The Videographer must demonstrate prior experience working in Chile Santiago and familiarity with local filming permits, municipal regulations, and the specific lighting and environmental conditions characteristic of the Chile Santiago region.

The Videographer engaged under this Purchase Order shall provide the following services:

• Pre-production planning and creative consultation (2 days) to be conducted in Chile Santiago.
• On-site filming with a minimum of 4K resolution camera equipment, professional lighting rigs, and audio recording gear (3 full production days in Chile Santiago).
• Post-production editing, including narrative structure, transitions, and motion graphics (5 business days).
• Professional color grading and sound design/mixing (3 business days).
• Delivery of final video files in MP4 (H.264), MOV (ProRes 422), and ProRes 4444 formats.
• Provision of 3 alternate cuts of the main video (60-second, 30-second, and 15-second versions).
• Delivery of 50 high-resolution still frames extracted from the footage for marketing use.

Payment for this Purchase Order shall be made in accordance with the following schedule: 40% (CLP 2,684,640) due upon signing and acceptance of this Purchase Order; 40% (CLP 2,684,640) due upon completion of on-site filming in Chile Santiago; and the remaining 20% (CLP 1,342,320) due upon final delivery and written acceptance of all video assets by the Buyer. All payments shall be made via bank transfer to the Supplier's designated account in Chile Santiago. The Supplier shall issue a formal invoice (factura) in accordance with Chilean tax regulations for each payment milestone.

• The Videographer shall maintain full professional liability insurance covering all personnel and equipment operating within Chile Santiago for the duration of this Purchase Order.
• All raw footage, intermediate files, and final deliverables produced under this Purchase Order shall become the exclusive intellectual property of the Buyer upon full payment.
• The Videographer shall comply with all applicable Chilean labor laws, municipal filming regulations in Chile Santiago, and data protection requirements (Ley 19.628) when capturing images of identifiable individuals.
• Any changes to the scope of work outlined in this Purchase Order must be approved in writing by both parties prior to execution. Additional days of filming in Chile Santiago shall be billed at the daily rate specified in Line Item 02.
• The Supplier warrants that the Videographer assigned to this Purchase Order shall possess a minimum of five (5) years of professional experience in corporate and commercial videography.
• Force majeure events, including but not limited to severe weather conditions in Chile Santiago, government-mandated closures, or natural disasters, shall suspend obligations under this Purchase Order without penalty to either party.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Chile Santiago in accordance with the rules of the Cámara de Comercio de Santiago.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Videographer for the production of video content in Chile Santiago.
