1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by Pacific Media Productions Ltd. (hereinafter referred to as the "Buyer") to Guangzhou LensCraft Visual Studio (hereinafter referred to as the "Supplier") for the engagement of a professional Videographer and associated production team to execute a comprehensive video production project in China Guangzhou. This Purchase Order governs all terms, conditions, deliverables, and payment obligations related to the Videographer services to be rendered within the Guangzhou metropolitan area and its surrounding districts. The Videographer engagement is specifically scoped to capture, produce, and deliver high-resolution promotional and documentary video content for the Buyer's regional marketing campaign targeting the South China market.
2. Description of Services — Videographer Engagement in China GuangzhouThe Supplier shall provide a certified and experienced Videographer, along with a minimum crew of four (4) supporting technicians, to perform all filming, editing, color grading, and post-production work in China Guangzhou. The Videographer shall possess a minimum of seven (7) years of professional experience in commercial and corporate video production, with demonstrated proficiency in 4K and 8K cinematography, drone aerial footage, and multi-camera event coverage. All Videographer services shall be conducted in compliance with the local regulations of the Guangzhou Municipal Government and the National Radio and Television Administration of China.

The Videographer and full crew shall be on-site in China Guangzhou commencing on July 1, 2025 and concluding principal photography on July 10, 2025. Post-production and final delivery of all video assets shall be completed no later than August 15, 2025. The Videographer shall submit a detailed shot list and production schedule to the Buyer no fewer than five (5) business days prior to the start date. All filming locations within Guangzhou, including but not limited to the Zhujiang New Town skyline, the Canton Tower observation deck, the Shamian Island heritage district, and the Baiyun Mountain scenic area, shall be pre-approved in writing by the Buyer.
5. Payment TermsPayment for this Purchase Order shall be made in three (3) installments via bank transfer to the Supplier's designated account in Guangzhou, China:
- 30% Advance Payment (CNY 151,368.00): Due within five (5) business days of mutual execution of this Purchase Order, prior to the Videographer's arrival in China Guangzhou.
- 50% Progress Payment (CNY 252,280.00): Due upon completion of principal photography and submission of a rough cut for Buyer review, no later than July 20, 2025.
- 20% Final Payment (CNY 100,912.00): Due within ten (10) business days of the Buyer's written acceptance of the final delivered video assets.
- This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from the Videographer services in China Guangzhou shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
- The Supplier warrants that the assigned Videographer holds all necessary professional credentials, insurance coverage (minimum CNY 2,000,000 liability), and valid work permits for employment in the Guangzhou municipality.
- All raw footage, edited masters, and derivative works produced under this Purchase Order shall become the exclusive intellectual property of the Buyer upon full payment. The Videographer and Supplier retain no right of reuse, republication, or portfolio display without prior written consent.
- The Supplier shall comply with all data protection and privacy regulations applicable in China Guangzhou, including the Personal Information Protection Law (PIPL) of the PRC, particularly regarding the capture of identifiable individuals in public spaces.
- Force majeure events, including but not limited to severe weather, government-mandated shutdowns, or public health emergencies affecting the Guangzhou region, shall extend the production timeline on a day-for-day basis without penalty to either party.
- The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice if the Videographer fails to meet the agreed-upon production milestones. In such event, the Supplier shall refund all prepaid amounts less the value of services already rendered and accepted.
- All communications, revisions, and approvals related to this Purchase Order shall be conducted in writing via email to the designated contacts listed above. Verbal instructions given to the Videographer on set in China Guangzhou shall be confirmed in writing within twenty-four (24) hours to be binding.
By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the Videographer services to be performed in China Guangzhou. This document constitutes a binding agreement upon execution by authorized representatives of both parties.
