This Purchase Order is issued by Tehran Media Productions Co., Ltd. to formally engage the services of a certified Videographer operating within the metropolitan area of Iran Tehran. The Videographer shall be responsible for the complete visual documentation, cinematography, and post-production editing of the "Tehran International Business Forum 2025," scheduled to take place at the Milad Tower Conference Center, Tehran, Iran, from 22 to 24 September 2025.

The Videographer engaged under this Purchase Order must hold a valid professional license issued by the Iranian Ministry of Culture and Islamic Guidance and must demonstrate a minimum of five (5) years of documented experience in corporate event videography within Iran Tehran. All footage captured must comply with the broadcasting and media regulations enforced by the Iranian state media authority.

All prices are quoted in Iranian Rials (IRR) and are inclusive of applicable Value Added Tax (VAT) as per the Iranian tax code. No additional charges shall apply unless mutually agreed in writing as an amendment to this Purchase Order.

1. Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from the execution of this Purchase Order related to the Videographer's services in Iran Tehran shall be resolved through the Tehran Commercial Arbitration Court.
2. Payment Terms: A 40% advance payment (301,800,000 IRR) shall be transferred to the Videographer's designated bank account in Tehran, Iran, within five (5) business days of the signing of this Purchase Order. The remaining 60% (452,700,000 IRR) shall be paid within fifteen (15) business days following the successful delivery and client acceptance of all final edited materials.
3. Delivery Schedule: The Videographer shall deliver a rough cut of the highlight reel within ten (10) business days of the event's conclusion. Final deliverables, including all full-length recordings and raw footage, shall be delivered no later than thirty (30) calendar days from 24 September 2025.
4. Intellectual Property: Upon full payment, all rights to the final edited content and raw footage shall transfer to Tehran Media Productions Co., Ltd. The Videographer retains the right to include up to two (2) short clips (not exceeding 30 seconds each) in their professional portfolio, subject to prior written approval from the issuing company.
5. Compliance: The Videographer must obtain all necessary filming permits from the Tehran Municipality and the Iranian Ministry of Culture prior to the event. Failure to secure permits shall be the sole responsibility of the Videographer and may result in termination of this Purchase Order without penalty to the issuing company.
6. Insurance: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance covering a minimum of 500,000,000 IRR for the duration of the engagement in Iran Tehran.
7. Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or civil unrest affecting the Tehran, Iran region.
8. Confidentiality: The Videographer and all crew members shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All footage, scripts, and client information related to the Tehran International Business Forum 2025 are strictly confidential.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the provision of Videographer services in Iran Tehran. This document, together with any attached schedules or specifications, forms the complete agreement between the parties regarding the scope, pricing, and terms of the engagement.
