1. Scope of Services — Videographer EngagementThis Purchase Order is issued by Levant Media Productions Ltd. to formally request and authorize the engagement of a professional Videographer for a comprehensive video production project to be executed in Israel Tel Aviv. The Videographer shall be responsible for all aspects of on-site filming, including but not limited to camera operation, lighting setup, audio capture, and preliminary editing of all footage captured during the production period. The Videographer must demonstrate proven experience working within the Israel Tel Aviv metropolitan area and must be fully familiar with local filming permits, municipal regulations, and any applicable restrictions imposed by the Tel Aviv-Yafo Municipality regarding commercial video production in public spaces.

The Videographer is expected to be on set and fully operational at the designated locations in Israel Tel Aviv according to the following schedule. All filming will take place between the hours of 07:00 and 17:00 local time (IDT). The primary locations include the Tel Aviv Port waterfront, the Carmel Market area, and the client's private studio on Allenby Street. The Videographer must arrive no later than 30 minutes before the scheduled start time on each production day. Any changes to the Israel Tel Aviv filming schedule must be communicated to the Videographer at least 48 hours in advance to allow adequate preparation.
4. Terms & Conditions4.1 Payment Terms: A deposit of 40% of the total Purchase Order value (ILS 33,842.40) is due within five (5) business days of acceptance of this Purchase Order. The remaining 60% (ILS 50,763.60) shall be invoiced by the Videographer upon successful delivery of all final edited footage and is payable within fourteen (14) calendar days of invoice receipt. All payments shall be made via bank transfer to the account designated by Negev Visual Studios.
4.2 Deliverables: The Videographer shall deliver all raw footage, edited sequences, color-graded masters, and associated audio files in 4K resolution (minimum 3840x2160) via a secure cloud storage link. Delivery of all final assets is due no later than July 30, 2025. The Videographer retains no ownership of the footage; all intellectual property rights transfer to Levant Media Productions Ltd. upon full payment.
4.3 Permits & Compliance: The Videographer is solely responsible for obtaining all necessary filming permits from the Tel Aviv-Yafo Municipality, the Israel Police (for any public road closures), and the Israel Airports Authority (for drone operations near Ben Gurion Airport restricted zones). All permits must be presented to the buyer's project manager prior to the first day of filming in Israel Tel Aviv.
4.4 Cancellation & Rescheduling: Cancellation of this Purchase Order by the buyer more than fourteen (14) days before the first filming date will result in forfeiture of the deposit only. Cancellation within fourteen (14) days will result in forfeiture of 75% of the total Purchase Order value. The Videographer may cancel with a minimum of ten (10) business days' written notice, in which case the full deposit shall be refunded within seven (7) business days.
4.5 Insurance: The Videographer must maintain comprehensive professional liability insurance with a minimum coverage of ILS 1,000,000 and equipment insurance covering all cameras, lenses, lighting, and audio gear used during the Israel Tel Aviv production. A certificate of insurance must be provided prior to commencement of work.
4.6 Confidentiality: The Videographer agrees to maintain strict confidentiality regarding all client information, trade secrets, and unreleased content encountered during the filming process in Israel Tel Aviv. This obligation survives the termination of this Purchase Order for a period of three (3) years.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
Important Note: The Videographer must be a registered resident or legal entity operating within Israel Tel Aviv or the broader Tel Aviv District. All work must comply with the Israeli Labor Law, the Copyright Law 5778-1978, and the Privacy Protection Law 5741-1981. The Videographer must ensure that all individuals appearing on camera have signed valid release forms in accordance with Israeli law before any footage is captured. 5. Acceptance & AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Videographer services to be performed in Israel Tel Aviv. This document constitutes a binding agreement upon execution by both authorized representatives.
