This Purchase Order is issued by Adriatica Corporate Communications S.r.l. (hereinafter referred to as the "Buyer") to formally engage the professional services of Lumière Visual Productions S.n.c. (hereinafter referred to as the "Videographer") for the production of a comprehensive corporate video package to be filmed, directed, and post-produced within the city of Italy Milan. The Videographer shall provide all creative direction, cinematography, audio capture, lighting design, and post-production editing services required to deliver a polished, broadcast-quality video asset for the Buyer's upcoming international product launch event scheduled for September 2025 in Italy Milan.
The Videographer is expected to bring a minimum of twelve (12) years of professional experience in corporate and commercial videography, with a proven portfolio of projects completed in the Italy Milan metropolitan area. All on-site filming activities shall take place at the Buyer's headquarters located in the historic center of Italy Milan, as well as at two additional pre-approved locations within the city of Italy Milan, including the Galleria Vittorio Emanuele II and the Navigli district, to capture the distinctive architectural and cultural backdrop of Italy Milan.

6.1 This Purchase Order constitutes a binding agreement between the Buyer and the Videographer upon signature by both parties. All services described herein shall be performed exclusively within the administrative boundaries of Italy Milan unless otherwise agreed in writing.
6.2 The Videographer warrants that all footage, audio, and visual assets produced under this Purchase Order shall be original works free from any third-party intellectual property claims. The Videographer shall secure all necessary location permits, drone operating licenses, and model releases required for filming in Italy Milan.
6.3 Payment shall be made via bank transfer to the account specified by the Videographer within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian commercial law.
6.4 The Buyer reserves the right to request up to two (2) rounds of revisions on the edited video at no additional cost. Any revisions beyond the second round shall be billed at the Videographer's standard hourly rate of EUR 120.00 per hour.
6.5 In the event of force majeure, including but not limited to severe weather conditions affecting outdoor filming in Italy Milan, the Videographer shall notify the Buyer within 24 hours, and the production schedule shall be adjusted by mutual agreement.
6.6 All raw footage and project files shall be retained by the Videographer for a period of twelve (12) months following final delivery, after which they may be destroyed in accordance with Italian data protection regulations (GDPR / D.Lgs. 196/2003).
6.7 This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Italy Milan.
NOTE: The Videographer is reminded that all filming activities in the historic center of Italy Milan require prior authorization from the Comune di Milano. The Videographer is solely responsible for obtaining and maintaining all municipal permits, including but not limited to the "Permesso di Ripresa" for the Galleria Vittorio Emanuele II and the Navigli canal area. Failure to secure proper permits may result in fines and production delays, for which the Videographer shall bear full financial responsibility.By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Videographer services to be rendered in Italy Milan.
