1. SCOPE OF SERVICESThis Purchase Order is issued by Mediterranean Events & Productions S.r.l. (hereinafter referred to as the "Buyer") to engage the services of Vesuvio Visual Media Studio (hereinafter referred to as the "Videographer Supplier") for the provision of professional videography services to be executed in Italy Naples. The Videographer shall be responsible for capturing, producing, and delivering high-quality video content for the "Naples Cultural Heritage Festival 2025," a three-day event scheduled to take place at the historic Piazza del Plebiscito and surrounding venues in the city centre of Naples, Italy.
The Videographer is expected to deploy a full production crew, including a lead camera operator, a second unit operator, a drone operator licensed for aerial footage over the Bay of Naples, a sound engineer, and a production assistant. All filming activities shall be conducted in compliance with local Italian regulations, municipal permits for the city of Naples, and the specific guidelines issued by the Soprintendenza per i Beni Archeologici e Paesaggistici di Napoli regarding the filming of heritage sites.

The Videographer shall commence on-site filming in Italy Naples on 22 August 2025 and conclude principal photography on 24 August 2025. Post-production work shall be completed no later than 12 September 2025. The final edited highlight reel, along with all raw footage archives, shall be delivered to the Buyer's designated server and via physical media to the office at Via Toledo 187, Naples, Italy. The Videographer guarantees that all deliverables shall conform to the technical specifications outlined in Annex A of this Purchase Order, including a minimum resolution of 3840×2160 pixels, a frame rate of 25 fps, and a colour space of Rec.709.
4. PAYMENT TERMSPayment for this Purchase Order shall be structured as follows: a non-refundable deposit of 40% (EUR 13,444.40) shall be remitted within ten (10) business days of the acceptance of this Purchase Order. The remaining 60% (EUR 20,166.60) shall be due within fifteen (15) business days of the Buyer's written acceptance of the final deliverables. All payments shall be made via bank transfer to the account details provided by the Videographer Supplier. Late payments shall incur interest at the rate of 1.5% per month, in accordance with Italian commercial law (Codice Civile, Articles 1284–1291).
5. TERMS AND CONDITIONS- This Purchase Order is governed by and shall be construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Naples, Italy.
- The Videographer Supplier warrants that all personnel assigned to this project in Italy Naples shall hold valid professional credentials, appropriate insurance coverage, and all necessary permits for filming in public and heritage-protected areas of the city.
- The Videographer Supplier shall maintain full intellectual property rights over the raw footage until final payment is received in full. Upon receipt of the complete payment, all rights to the final edited content and raw archives shall transfer exclusively to the Buyer.
- The Videographer Supplier shall comply with all applicable Italian data protection regulations, including the GDPR (Regulation (EU) 2016/679) and the Italian Privacy Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018), particularly with respect to the recording of identifiable individuals in public spaces in Naples, Italy.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Buyer after principal photography has commenced, the Videographer Supplier shall be compensated for all services rendered up to the date of termination, plus a cancellation fee of 15% of the remaining contract value.
- The Videographer Supplier shall provide the Buyer with a daily progress report during the filming period in Naples, Italy, and shall make all footage available for preliminary review within forty-eight (48) hours of each filming day.
- Force majeure events, including but not limited to severe weather conditions affecting the Bay of Naples, civil unrest, or government-issued restrictions on public gatherings, shall excuse timely performance. The affected party shall notify the other within twenty-four (24) hours of the occurrence.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Videographer Supplier for professional video production services in Italy Naples. This Purchase Order constitutes a binding agreement between the parties upon execution by both authorized signatories.
