This Purchase Order is issued by Everest Media Solutions Pvt. Ltd. to formally engage a professional Videographer for the production of a corporate promotional video series to be filmed in Nepal Kathmandu and its surrounding districts. The Videographer shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, color grading, sound mixing, and final delivery of broadcast-quality video content. The Videographer must demonstrate extensive experience working in the Nepal Kathmandu region, including familiarity with local permits, cultural sensitivities, and the unique lighting and topographical conditions of the Kathmandu Valley.

4.1 This Purchase Order constitutes a binding agreement between Everest Media Solutions Pvt. Ltd. (hereinafter "the Buyer") and Shree Himalayan Visual Productions (hereinafter "the Videographer Vendor") for the provision of professional Videographer services in Nepal Kathmandu.
4.2 The Videographer shall assign a dedicated lead Videographer and a minimum crew of four (4) technicians for the duration of the filming schedule. The lead Videographer must have a minimum of five (5) years of professional experience in commercial and corporate video production.
4.3 All filming locations within Nepal Kathmandu must be secured with appropriate permits from the Kathmandu Metropolitan City (KMC) and any relevant heritage or tourism authorities prior to the commencement of shooting. The Videographer Vendor shall bear the cost of all location permits and insurance.
4.4 The Videographer shall deliver a rough cut within ten (10) business days of the final filming day. The Buyer shall have two (2) rounds of revisions included in the Purchase Order price. Additional revisions shall be billed at NPR 15,000 per round.
4.5 All intellectual property rights, including but not limited to raw footage, edited content, and project files, shall transfer to the Buyer upon full payment. The Videographer retains the right to display the final work in their professional portfolio with prior written consent from the Buyer.
4.6 In the event of force majeure (including but not limited to monsoon-related flooding in the Kathmandu Valley, government-imposed curfews, or natural disasters), the Videographer shall notify the Buyer within 24 hours, and the filming schedule shall be extended accordingly without penalty to either party.
4.7 The Videographer Vendor shall maintain comprehensive liability insurance covering all crew members, equipment, and third-party property for the entire duration of the engagement in Nepal Kathmandu. A certificate of insurance shall be provided to the Buyer prior to the first filming day.
4.8 Payment shall be made in Nepalese Rupees (NPR) via bank transfer to the account specified in Section 2. A 30% advance payment is due upon acceptance of this Purchase Order. The remaining 70% shall be due within thirty (30) days of final delivery and written acceptance of the completed video content by the Buyer.
4.9 This Purchase Order is governed by the laws of the Kingdom of Nepal. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 1995 of Nepal.
4.10 The Videographer shall comply with all data protection and privacy regulations of Nepal, including obtaining signed release forms from all identifiable individuals appearing in the footage filmed in Nepal Kathmandu.
This Purchase Order is valid for acceptance within seven (7) calendar days of the issue date. The Videographer Vendor shall confirm acceptance in writing by signing and returning a copy of this Purchase Order to the Buyer's procurement department in Kathmandu.
