This Purchase Order is issued by Lagos Creative Media Group Ltd. to formally engage the services of Cinelens Studios Nigeria, a professional Videographer firm based in Nigeria Lagos, for the production of a comprehensive corporate brand film and a series of promotional video content. The Videographer shall be responsible for all aspects of pre-production planning, on-location filming across multiple sites in Nigeria Lagos, post-production editing, colour grading, sound mixing, and final delivery of all video assets in the formats specified herein.
The Videographer is expected to deploy a full production crew including a director, camera operators, lighting technicians, sound engineers, and a production assistant. All filming activities shall take place within the metropolitan area of Nigeria Lagos, including but not limited to Victoria Island, Lekki, Ikeja, and the Third Mainland Bridge corridor. The Videographer must ensure compliance with all local filming permits and regulatory requirements applicable in Nigeria Lagos as stipulated by the Lagos State Film Commission.

- This Purchase Order constitutes a binding agreement between Lagos Creative Media Group Ltd. (the "Buyer") and Cinelens Studios Nigeria (the "Videographer" or "Supplier") upon signature by both parties.
- The Videographer shall commence pre-production activities within five (5) business days of receiving the 50% advance payment of NGN 4,945,000 as specified in this Purchase Order.
- All filming and production activities shall be conducted within the boundaries of Nigeria Lagos. Any requirement to travel outside the Lagos State for supplementary footage must be pre-approved in writing by the Buyer and will be billed at an additional rate.
- The Videographer is responsible for obtaining all necessary filming permits, location clearances, and drone operation licences required by the Lagos State Film Commission and the Nigerian Civil Aviation Authority for aerial Videographer work in Nigeria Lagos.
- Final delivery of all completed video content shall be made no later than 05 July 2025. The Videographer shall deliver a minimum of two (2) revision rounds at no additional cost as outlined in Line Item 07 of this Purchase Order.
- Ownership of all final video deliverables, including raw footage, edited masters, and all associated intellectual property, shall transfer to the Buyer upon receipt of the final 50% payment.
- The Videographer warrants that all content produced shall be original and free from any third-party copyright infringement. The Videographer shall indemnify the Buyer against any claims arising from intellectual property violations.
- Payment shall be made via bank transfer to the account details provided by the Videographer. The Buyer shall not be liable for any late payment penalties if the Videographer fails to submit a valid tax invoice in accordance with Nigerian tax regulations.
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this engagement shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- Neither party shall be liable for delays caused by force majeure events, including but not limited to severe weather conditions affecting filming in Nigeria Lagos, government-imposed restrictions, or civil unrest.
