This Purchase Order is issued by Meridian Media Group LLC (hereinafter referred to as the "Buyer") to Capital Lens Productions OOO (hereinafter referred to as the "Supplier") for the engagement of a professional Videographer to execute a comprehensive video production project. The entire scope of work, including all on-location filming, post-production editing, and final delivery, shall be conducted within the jurisdiction of Russia Moscow. The Buyer requires the Supplier to assign a senior-level Videographer with a minimum of eight (8) years of professional experience in corporate, documentary, and event videography. The Videographer must be fully licensed to operate professional camera equipment and audio recording devices throughout all districts of Russia Moscow, including but not limited to the Central Administrative District, the Northern Administrative District, and the New Moscow territories.
The Videographer shall be responsible for capturing high-definition (4K minimum) video footage, operating professional-grade cinema cameras, managing on-set lighting, coordinating with the Buyer's creative team, and delivering a fully edited master file. All filming locations are pre-approved and situated within the administrative boundaries of Russia Moscow. The Videographer must comply with all local regulations governing commercial filming in public spaces, including obtaining any necessary permits from the Moscow City Administration prior to the commencement of production.

- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of the date of issue.
- Service Period: All Videographer services shall be rendered between 1 July 2025 and 15 July 2025. All filming and post-production work must be completed within the administrative boundaries of Russia Moscow unless otherwise agreed in writing.
- Payment Terms: The Buyer shall remit payment within thirty (30) days of receipt of a valid invoice from the Supplier. A 40% advance payment is due upon signing of this Purchase Order. The remaining 60% is due upon final delivery and written acceptance of the completed video deliverables.
- Deliverables: The Videographer shall deliver one (1) final 4K master file (ProRes 422 HQ), one (1) compressed H.264 version for web distribution, and all raw footage organized by scene and take. Deliverables must be provided via secure cloud transfer within ten (10) business days of the final filming day.
- Intellectual Property: Upon full payment, all rights, title, and interest in the final video deliverables shall vest exclusively in the Buyer. The Videographer and Supplier retain the right to include the work in their professional portfolio, subject to the Buyer's prior written approval.
- Compliance: The Videographer must comply with all applicable Russian federal and municipal laws, including but not limited to the Federal Law on Personal Data (152-FZ), copyright regulations, and local filming permits required for commercial production in Russia Moscow.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and equipment insurance for the duration of the engagement. Proof of insurance must be provided prior to the first day of filming.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered and expenses incurred up to the date of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated restrictions on filming in Russia Moscow, or public health emergencies.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes shall be resolved through arbitration in Moscow, Russia.
