1. This Purchase Order constitutes a binding agreement between Brightline Media Productions, LLC (hereinafter "Buyer") and Palm Coast Visual Studios, Inc. (hereinafter "Supplier") for the provision of professional Videographer services to be performed in United States Miami, Florida.
2. The Supplier shall assign a qualified Lead Videographer and supporting crew with a minimum of five (5) years of commercial production experience. All Videographer personnel must carry valid professional liability insurance with a minimum coverage of $2,000,000 per occurrence.
3. All filming, editing, and delivery activities referenced in this Purchase Order shall take place at locations within the United States Miami metropolitan area, including but not limited to Miami Beach, Brickell, Wynwood, and the Miami River waterfront district.
4. Payment shall be made within thirty (30) calendar days of the Buyer's receipt of a valid invoice from the Supplier. Late payments shall accrue interest at a rate of 1.5% per month. Payment shall be made via ACH transfer to the Supplier's designated bank account in United States Miami.
5. The Supplier warrants that all Videographer equipment, including but not limited to cinema cameras, lenses, lighting rigs, audio recorders, and drone systems, shall be in full working order and maintained to industry standards throughout the duration of the engagement.
6. All intellectual property rights, including but not limited to copyrights in the final edited video content, raw footage, and associated project files, shall transfer exclusively to the Buyer upon full payment of this Purchase Order. The Supplier retains no right to use, reproduce, or distribute the Videographer work for portfolio or promotional purposes without prior written consent.
7. The Supplier shall comply with all applicable federal, state, and local regulations governing commercial video production in the United States Miami area, including but not limited to FAA Part 107 regulations for drone operations, Florida Department of Business and Professional Regulation licensing requirements, and Miami-Dade County noise and filming permit ordinances.
8. Either party may terminate this Purchase Order with fourteen (14) days' written notice in the event of a material breach by the other party. In the event of termination, the Buyer shall compensate the Supplier for all Videographer services rendered and expenses incurred up to the date of termination.
9. This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising under this agreement shall be resolved through binding arbitration in Miami, Florida, in accordance with the rules of the American Arbitration Association.
10. The Supplier shall provide a detailed production schedule and shot list to the Buyer no fewer than five (5) business days prior to the commencement of filming. Any changes to the Videographer scope of work must be documented in a written change order signed by both parties.
11. This Purchase Order is valid for acceptance until June 30, 2025. Failure to accept by this date shall render this document null and void, and the Buyer reserves the right to issue a revised Purchase Order for the same Videographer services.
